Our Business

We are a provider of complete solutions to our clients for the integration of Internet of Things (“IoT”) systems and devices from designing to project deployment. We offer a wide range of IoT systems as well as providing customers a substantial range of services such as system integration and system support service. We deliver holistic solutions with full turnkey deployment from designing, installation, testing, pre-commissioning, and commissioning of various IoT systems and devices as well as integration of automated systems, including installation of wire and wireless and mechatronic works.

Recent new technology trends such as artificial intelligence (AI), cloud computing, 5G, robotic process automation (RPA), IoT and hyper-connectivity continue to transform businesses and drive companies to seek digital changes to meet evolving demands of customers. We have strived to incorporate these cutting-edge technologies into our solutions and systems. For example, we have recently expanded our AI capabilities and market presence through strategic partnerships, major order acquisition and regional expansion. For more information, see “—Recent Developments” below.

We reorganized our operations into three business lines for the fiscal year ended June 30, 2024. In light of significant declines in activity within our IoT Smart Agriculture and IoT System Development verticals, we merged these two historical verticals into a single, streamlined business line.

	●	*IoT Smart Home & Building*. We offer smart home solutions which include design, procurement and provision of smart home products and devices, integration services as well as comprehensive professional electrical wire installation and home data network setup for homeowners. We also provide smart building solutions which include design, procurement, installation, testing, pre-commissioning and commissioning of various IoT systems, solutions and devices as well as integration of automated systems for smart buildings, including installation of wire and wireless and mechatronic works for property developers and contractors.

	●	*IoT Smart Agriculture and System Development*. We carry out services of system development, supply, installation, commissioning and testing of smart systems which include IoT concept and functionality to the existing systems across various industries.

IoT Gadget Distribution. We distributed mobile gadget accessories to end users in Malaysia via resellers, distributors and retailers. In the process, we provided certain services including shipping tracking and status updates, customer care line and online chat support, digital marketing, pre-installation and warranty services. This business line was disposed of in October 2023 with the sale of our former subsidiaries, ARB Midware Sdn. Bhd. and ARB Distribution Sdn. Bhd. on October 6, 2023. We disposed of this business line because of its insignificant profit generation.

We have benefited from ARB Berhad’s experience, reputation and network in the IT industry. Prior to the completion of our initial public offering on April 10, 2023, we operated as an operating segment of ARB Berhad. As an operating segment of a seasoned public company, we have gained from established business processes and a veteran leadership team, allowing us to focus our attention on growing and developing our IoT business. While our history with ARB Berhad has provided us with certain competitive advantages, we believe that the separation and our initial public offering and listing on the Nasdaq help promote clearer segregation of business responsibilities and operations for the IoT segment, thereby enabling efficient allocation of resources to accelerate the growth of our IoT business, and allow us to have direct access to a globally recognized stock exchange, which may increase our financial flexibility to explore expansion and growth prospects and enhance our corporate reputation and recognition.

On February 5, 2024, ARB Berhad effected a distribution of 17,496,142 Ordinary Shares it held in us, to its shareholders, or the Distribution. Immediately following the Distribution, ARB Berhad held 7,503,858 Ordinary Shares of our Company, or approximately 28.38% of our issued and outstanding Ordinary Shares. As a result of the Distribution, we have no longer been deemed a “controlled company” under the Nasdaq Rules, and we were no longer included in ARB Berhad’s consolidated group for Malaysian income tax, accounting or public company reporting purposes. Subsequently, on May 6, 2024, ARB Berhad transferred 7,503,858 Ordinary Shares of our Company, or approximately 28.38% of our issued and outstanding Ordinary Shares to ARB IOT Limited, an indirect subsidiary of ARB Berhad wholly owned through its direct subsidiary ARB Holdings Sdn Bhd.

On July 1, 2024, Cahaya Fantasi Sdn Bhd, a Malaysian company subscribed for 4,000,000 ordinary shares of ARB Holdings Sdn Bhd at a price of RM0.1 per share, for a total consideration of RM400,000. As a result of this subscription, Cahaya Fantasi Sdn Bhd acquired 90.9% of the outstanding ordinary shares and voting power of ARB Holdings Sdn Bhd and ARB Berhad held the remaining 9.1% of ARB Holdings Sdn Bhd. As of March 13, 2025, ARB Holdings Sdn Bhd holds 100% equity interest of ARB IOT Limited, and ARB IOT Limited, in turn, directly holds 7,503,858 Ordinary Shares of us; and ARB Holdings Sdn Bhd is 90.9% owned by Cahaya Fantasi Sdn Bhd and 9.1% owned by ARB Berhad. As such, ARB Berhad is no longer a principal beneficial owner of the Company.

Our revenue decreased from approximately $94.9 million for the fiscal year ended June 30, 2022 to approximately $51.9 million for the fiscal year ended June 30, 2023, a decrease of $43.0 million or 45.3%. Revenue decreased from approximately $51.9 million for the fiscal year ended June 30, 2023 to approximately $12.3 million for the fiscal year ended June 30, 2024, a decrease of $39.6 million or 76.0%. Our profit decreased from approximately $15.7 million for the fiscal year ended June 30, 2022 to approximately $5.9 million for the fiscal year ended June 30, 2023, a decrease of $9.8 million or 62.4%. Profit decreased from approximately $5.9 million for the fiscal year ended June 30, 2023 to a loss approximately $11.6 million for the fiscal year ended June 30, 2024, a decrease of $17.5 million or 298.6%.

Recent Developments

The Company has recently expanded its AI capabilities and market presence through strategic partnerships, major order acquisition and regional expansion:

Strategic AI server partnership. In November 2024, the Company signed a memorandum of understanding with ASUS and ServerSphere to collaborate on AI server solutions, under which the Company handles assembly, testing, localization, and global sales.

AI Data Centre Experimental Laboratory. In February 2025, the Company signed a memorandum of understanding to establish an AI data centre experimental lab in collaboration with Universiti Kebangsaan Malaysia and Gajah Kapitalan Sdn Bhd (“GKSB”). The lab, equipped with ARB 222 and ARB 333 AI servers, will support AI research, development, and training, aligning with Malaysia’s AI growth initiatives.

$45 Million AI Server Order. The Company secured a major AI server supply deal worth approximately $45 million with GKSB. Under the agreement, ARB IOT will supply 500 ARB-222 AI servers to support high-performance computing needs in Malaysia.

Expansion into East Malaysia. The Company appointed Whizzl Sdn Bhd as its exclusive wholesaler and system integrator for Sabah and Sarawak, Malaysia. This expansion aims to strengthen AI adoption in East Malaysia through the distribution of ARB AI workstations and servers, enhancing cloud and edge computing solutions.

Strengthening Presence in Smart Farming. The Company secured an order to deploy its AI smart IoT palm farming system across 3,000 acres of plantations in Sabah, Malaysia. Through real-time monitoring, data analytics, and automation, the system aims to enhance efficiency, boost yield and support sustainable palm oil production.

We are incorporated under the laws of the Cayman Islands as an exempted company with limited liability. Malaysia

The enforcement of a foreign judgment in Malaysia could be effected through either statutory enforcement or the common law rule of enforcement.

Under the Reciprocal Enforcement of Judgments Act 1958 of Malaysia, or REJA, judgments given by superior courts of reciprocating countries, as listed in the First Schedule to the REJA are recognized and may be enforced directly or summarily by way of registration of the judgment provided that such judgments satisfy the requirements as specified under the REJA.

Foreign judgments obtained in countries other than the countries listed in the First Schedule to REJA, have to be enforced through the common law rule. As the United States is not a reciprocating country listed in the First Schedule to REJA, a judgment pronounced in the United States may still be enforced in Malaysia pursuant to Malaysian common law principles. Such foreign judgments must fulfil certain conditions which includes the following:
