A MESSAGE FROM PRESIDENT AND CEO KEELAN ADAMSON

Following our announcement earlier this week of Transocean’s plans to acquire Valaris, I wanted to follow up with some key information and direction.

Until this transaction closes, which is anticipated to be in the second half of 2026, Transocean and Valaris will continue to operate as two independent companies. Our priority remains to deliver safe, reliable, and efficient operations to our customers around the world. It is business as usual.

An integration planning team will be established to engage with Valaris counterparts under strict legal guidelines. Outside of normal industry events, no one else is authorized to engage with Valaris employees on any business matter related to this transaction.

For the avoidance of doubt, and in accordance with normal business practices, you should not discuss any active or expected commercial opportunities for either company with them. This includes bids, contracts, negotiations, and market intelligence with or about any business partner, including customers and vendors.

Any communication that has the appearance of attempting to coordinate our commercial activities—even if unintended—may be unlawful and could compromise our ability to obtain regulatory approval.

Additionally, be mindful of ALL written communications regarding the transaction to your staff and to customers and vendors, as they may be subject to review by governmental-approval authorities.
