Shareholder Meeting Notice The Hackett Group, Inc.’s Annual Meeting of Shareholders will be held on April 30, 2026 at 1001 Brickell Bay Drive, 30th Floor, Miami, Florida at 11:00 am ET. Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. The Board of Directors recommend a vote FOR the nominee and FOR Proposals 2, 3, and 4: 1. Election of Director: 01—John R. Harris 2. To approve an amendment to the Company’s Employee Stock Purchase Plan (the “Purchase Plan”) to (i) increase the number of shares under the Purchase Plan by 250,000 shares, and (ii) extend the current term of the Purchase Plan by three years to July 1, 2031; 3. To approve, in an advisory vote, the Company’s executive compensation; 4. To ratify the appointment of RSM US LLP as the Company’s independent registered public accounting firm for the fiscal year ending January 1, 2027.
