The 2026 Annual Meeting of Shareholders of the Company has been called to consider and act upon the following matters:

The Board of Directors recommends a vote FOR all the nominees listed in Proposal 1 and FOR Proposals 2 and 3.

1.To elect four Directors to the class of Directors to serve a 3-year term until the 2029 meeting of shareholders.
