Shareholder Meeting Notice Bioanalytical Systems, Inc.’s Annual Meeting of Shareholders will be held on March 18, 2021 at Courtyard Marriott Lafayette, 150 Fairington Avenue, Lafayette, IN 47905, at 10:00 a.m. ET. Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. The Board recommends a vote FOR the nominees listed and FOR Proposals 2 and 3: 1.Election of Directors: 01 - Gregory C. Davis, Ph.D. 02 - John E. Sagartz, DVM, Ph.D., DACVP 2. Proposal to ratify RSM US LLP as our independent registered public accounting firm for fiscal 2021. 3. Approval of the amendment to our Second Amended and Restated Articles of Incorporation in order to adopt “Inotiv, Inc.” as our corporate legal name.
