About Getty Images Business

Getty Images was founded in 1995, with the core mission of bringing the world’s best creative and editorial visual content solutions to our customers to engage their audiences. We have developed market enhancements across ecommerce, content subscriptions, user-generated content, inclusive content, and proprietary research alongside investment in our technology platform, which includes generative artificial intelligence (“AI”) services designed to be commercially safe, natural language processing, AI based integrated APIs, to become a global, trusted industry leader in the visual content space.

Business Combination

On July 22, 2022 (the “Closing Date”), the Company consummated the transactions in the Business Combination Agreement, dated December 9, 2021 (the “Business Combination Agreement” and the consummation of such transactions, the “Closing”), by and among CC Neuberger Principal Holdings II, a Cayman Islands exempted company (“CCNB”), the Company (at such time, Vector Holding, LLC, a Delaware limited liability company and wholly-owned subsidiary of CCNB), Vector Domestication Merger Sub, LLC, a Delaware limited liability company and wholly-owned subsidiary of the Company (“Domestication Merger Sub”), Vector Merger Sub 1, LLC, a Delaware limited liability company and a wholly-owned subsidiary of CCNB (“G Merger Sub 1”), Vector Merger Sub 2, LLC, a Delaware limited liability company and a wholly-owned subsidiary of CCNB (“G Merger Sub 2”), Griffey Global Holdings, Inc., a Delaware corporation (“Legacy Getty”), and Griffey Investors, L.P., a Delaware limited partnership (the “Partnership”). Who is entitled to vote at the Annual Meeting?

The Record Date for the 2026 Annual Meeting is August 17, 2026. Each outstanding share of Class A common stock is entitled to one vote for all matters before the 2026 Annual Meeting. What is the difference between being a “record holder” and holding shares in “street name”?

A record holder holds shares in his, her or its name. Shares held in “street name” means shares that are held in the name of a bank or broker on a person’s or entity’s behalf.

Am I entitled to vote if my shares are held in “street name”?

Yes. If your shares are held by a bank or a brokerage firm, you are considered the “beneficial owner” of those shares held in “street name.” If your shares are held in street name, these proxy materials are being provided to you by your bank or brokerage firm, along with a voting instruction card if you received printed copies of our proxy materials. What is a “vote withheld” and an “abstention” and how will votes withheld and abstentions be treated?

A “vote withheld,” in the case of the election of directors, or an “abstention,” in the case of proposals 2 through 5, represents a stockholder’s affirmative choice to decline to vote on a proposal. Votes withheld and abstentions are counted as present and entitled to vote for purposes of determining a quorum. Votes withheld have no effect on the election of directors. For proposals 2, 4 and 5, abstentions are not considered to be votes cast and, accordingly, will have no effect on the proposals. For proposal 3, abstentions will have the same effect as a vote against this proposal.

What are broker non-votes and do they count for determining a quorum?

Generally, broker non-votes occur when shares held by a broker in “street name” for a beneficial owner are not voted with respect to a particular proposal because the broker (1) has not received voting instructions from the beneficial owner and (2) lacks discretionary voting power to vote those shares. A broker is entitled to vote shares held for a beneficial owner on routine matters, without instructions from the beneficial owner of those shares. On the other hand, absent instructions from the beneficial owner of such shares, a broker is not entitled to vote shares held for a beneficial owner on non-routine matters. Under NYSE rules, the ratification of the appointment of Ernst & Young LLP as our independent registered public accounting firm (proposal 2) and the approval of an amendment to our Charter to effect the reverse stock split (proposal 3)

General

Our Board of Directors has adopted Corporate Governance Guidelines, a Code of Conduct and Business Ethics, and charters for our Nominating and Corporate Governance Committee, Audit Committee, and Compensation Committee to assist our Board of Directors in the exercise of its responsibilities and to serve as a framework for the effective governance of the Company. Board Composition

Our business and affairs are organized under the direction of our Board of Directors. Our Board of Directors currently consists of ten members. The primary responsibilities of our Board of Directors are to provide oversight, strategic guidance, counseling and direction to our management. Our Board of Directors meets on a regular basis and additionally as required.

In accordance with our Charter, our Board of Directors is divided into three classes, Class I, Class II and Class III, with members of each class serving staggered three-year terms. Currently, our Board of Directors is divided into the following classes:

•Class I, which consists of Patrick Maxwell, Jeffrey Titterton and Thomas Walper, whose terms will expire at the 2026 Annual Meeting;

•Class II, which consists of Mark Getty, Chinh Chu, Tracy Knox and Brett Watson, whose terms will expire at the Company’s annual meeting of stockholders to be held in 2027; and

•Class III, which consists of Craig Peters, Elizabeth Abrams and Michael Harris, whose terms will expire at the Company’s annual meeting of stockholders to be held in 2028.

At each annual meeting of stockholders, the successors to directors whose terms then expire will be elected to serve from the time of election and qualification until the third annual meeting following their election and until their successors are duly elected and qualified or until their earlier death, resignation, retirement, disqualification or removal. This classification of our Board of Directors may have the effect of delaying or preventing changes in our control or management.

Further, in connection with the execution of the Business Combination Agreement, CC Neuberger Principal Holdings II Sponsor LLC (the “Sponsor”), the equityholders of the Sponsor, certain equityholders of Legacy Getty and certain other parties thereto entered into the Stockholders Agreement dated December 9, 2021 (the “Stockholders Agreement”) with Getty Images (then Vector Holding, LLC), pursuant to which, among other things, our Board of Directors consists of (i) three directors nominated by Getty Investments LLC (“Getty Investments”), (ii) two directors nominated by Koch Icon Investments, LLC (“Koch Icon”), (iii) one director nominated by CC Capital Partners, LLC (“CC Capital”), (iv) the chief executive officer of Getty Images and (v) a number of independent directors sufficient to comply with the requisite independence requirements of the NYSE and the rules and regulations of the SEC. The number of nominees that each of Getty Investments, Koch Icon and CC Capital will continue to be entitled to nominate pursuant to the Stockholders Agreement is subject to reduction based on the aggregate number of shares of Class A common stock held by such stockholders (together with their successors and any permitted transferees), as follows:

•For so long as (i) the Getty Family Stockholders (as defined below in “Security Ownership of Certain Beneficial Owners and Management” below) beneficially own, in the aggregate, at least 52,000,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like (the “Three Director Appointment Threshold”), Getty Investments shall be entitled to nominate three individuals to our Board of Directors, (ii) if the Getty Family Stockholders do not meet the Three Director Appointment Threshold, but the Getty Family Stockholders beneficially own, in the aggregate, at least 26,000,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like (the “Two Director Appointment Threshold”), Getty Investments shall be entitled to nominate two individuals to the our Board of Directors, and (iii) the Getty Family Stockholders beneficially own, in the aggregate, fewer than 26,000,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like, but greater than or equal to 5% of the total number of outstanding shares of Class A common stock (but less than a number of shares of Class A common stock that would meet the Two Director Appointment Threshold), Getty Investments shall be entitled to nominate one individual to our Board of Directors. In the event that the Getty Family Stockholders beneficially own, in the aggregate, less than 5% of the

total number of outstanding shares of Class A common stock, Getty Investments will not be entitled to nominate any individual to our Board of Directors pursuant to the Stockholders Agreement.

•For so long as (i) Koch Icon beneficially owns, in the aggregate, at least 26,000,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like, Koch Icon shall be entitled to nominate two individuals to our Board of Directors and (ii) Koch Icon beneficially owns, in the aggregate, fewer than 26,000,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like, but greater than or equal to 5% of the total number of outstanding shares of Class A common stock, Koch Icon shall be entitled to nominate one individual to our Board of Directors. In the event that Koch Icon beneficially owns, in the aggregate, less than 5% of the total number of outstanding shares of Class A common stock, Koch Icon shall not be entitled to nominate any individual to our Board of Directors pursuant to the Stockholders Agreement.

•For so long as the Sponsor beneficially owns, in the aggregate, at least 5,116,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like, CC Capital shall be entitled to nominate one individual to our Board of Directors. In the event that the Sponsor beneficially owns, in the aggregate, fewer than 5,116,000 shares of Class A common stock, as adjusted for stock splits, stock combinations, and the like, CC Capital shall not be entitled to nominate any individual to our Board of Directors pursuant to the Stockholders Agreement.

Director Independence

As required by the rules of the New York Stock Exchange (“NYSE”), a majority of our Board of Directors is independent. An “independent director” is generally defined under applicable NYSE rules as one who the Board of Directors affirmatively determines has no material relationship with the company, either directly or as an officer, partner or stockholder of a company that has a relationship with the company. Audit committee members must also satisfy the independence criteria set forth in Rule 10A-3 under the Exchange Act, and the listing standards of NYSE.

Our Board of Directors has determined that each of the directors, other than Craig Peters and Mark Getty, qualifies as an “independent director” under applicable SEC and NYSE rules for purposes of serving on our Board of Directors and each committee on which they serve, as applicable. Our Board of Directors also previously determined that each of James Quella and Hilary Schneider, whom served on our Board of Directors until April 1, 2026 and July 20, 2026, respectively, was an “independent director” under applicable SEC and NYSE rules for purposes of serving on our Board of Directors and the committees on which he or she served. In making these determinations, our Board of Directors reviewed and discussed information provided by the directors with regard to each director’s business and personal activities and relationships as they may relate to us and our management.

Director Candidates

The Nominating and Corporate Governance Committee is responsible for periodically reviewing with our Board of Directors the appropriate criteria that directors are required to fulfill (including experience, qualifications, attributes, skills and other characteristics) in the context of the current make-up of our Board of Directors and the needs of the board given the circumstances of the Company. In identifying and screening director candidates, the Nominating and Corporate Governance Committee considers whether the candidates fulfill the criteria for directors approved by our Board Directors, including integrity, objectivity, independence, sound judgment, leadership, courage and range of experience (for example, in relation to finance and accounting, strategy, risk management, technical expertise, policy-making, etc.). In addition, the Company recognizes and embraces the benefits of having a board that is composed of a wide range of viewpoints, backgrounds, experiences and perspectives. In evaluating the composition of our Board of Directors, the Nominating and Corporate Governance Committee will consider a mix of viewpoints, backgrounds, experiences and perspectives among other relevant considerations.

The Nominating and Corporate Governance Committee values the input of stockholders in identifying director candidates. Board Leadership Structure

Our Board of Directors believes that its leadership structure, in which the roles of Chair and CEO are separated, best serves our Board’s ability to carry out its roles and responsibilities on behalf of the Company’s stockholders, including its oversight of management, and the Company’s overall corporate governance. We have separated the positions of Chair and CEO in recognition of the differences between the two roles. Separating these positions allows our CEO to focus more directly upon executing on the Company’s strategic objectives and business plan, providing day-to-day leadership and guiding senior management through the implementation of our strategic initiatives. It also allows our non-executive Chair to utilize his time to focus on our long-term strategy, and to set the agenda for board meetings and preside over meetings of the full board.

Our Board of Directors will periodically review its leadership structure to determine whether it continues to best serve Getty Images and its stockholders.

Role of our Board of Directors in Risk Oversight

Our Board of Directors is involved in the oversight of risk management related to us and our business. Our Board of Directors accomplishes this oversight both directly and through its Audit Committee, which assists the board in overseeing a part of our overall risk management and regularly reports to the board. The Audit Committee represents the board by periodically reviewing our accounting, reporting and financial practices, including the integrity of our financial statements, the oversight of administrative and financial controls, our compliance with legal and regulatory requirements, cybersecurity, our procedures for treatment of complaints regarding internal accounting controls or auditing matters, and our policies with respect to risk assessment and risk management. Through its regular meetings with management, including the finance, legal and internal audit functions, the Audit Committee reviews and discusses significant areas of our business and related risks and summarizes for the board areas of risk and any mitigating factors. In addition, our Board of Directors participates in regular briefings with management on a variety of topics, including cybersecurity and AI, in which risk oversight is an inherent element.

Executive Sessions of Non-Management Directors

As provided in the Corporate Governance Guidelines, the non-management directors meet, without management directors or management present on a regularly scheduled basis. The Company holds an executive session including only independent directors at least once per year.

Insider Trading, Anti-Hedging and Anti-Pledging Policies

Our Board of Directors has adopted an Insider Trading Policy, which applies to all of our directors, officers, employees and contractors. The policy prohibits our directors, officers and certain employees in key financial reporting and communication roles and any entities they control from purchasing financial instruments such as puts, calls, prepaid variable forward contracts, equity swaps, collars, and exchange funds, and other financial instruments that are designed to or have the effect of hedging or offsetting any decrease in the market value of our equity securities. Further, the policy

prohibits our directors, officers and certain employees in key financial reporting and communication roles from pledging, hypothecating, or otherwise encumbering our equity securities as collateral for indebtedness. The policy also governs the purchase, sale, and/or other dispositions of our securities by our directors, officers, employees and contractors. The Company has also adopted a trading policy governing the Company’s repurchase of its own securities. We believe both policies are reasonably designed to promote compliance with insider trading laws, rules and regulations, and applicable NYSE exchange listing standards. Incentive-Based Compensation Recovery Policy (Clawback)

Effective October 2, 2023, we adopted a clawback policy in accordance with SEC rules and NYSE listing standards, a copy of which is publicly filed with our 2025 Form 10-K.

In 2025, there were nine meetings of our Board of Directors. During such time, each director, except for Mr. Chu, attended at least 75% of the aggregate of (i) all meetings of our Board of Directors and (ii) all meetings of the committees on which the director served during the period in which he or she served as a director.

The functions of our Audit Committee include, among other things:

Our Audit Committee consists of Tracy Knox, Elizabeth Abrams and Jeffrey Titterton. Ms. Schneider and Mr. Quella served as members of the Audit Committee until their resignations on July 20, 2026 and April 1, 2026, respectively. Our Board of Directors has determined that each of the members of our Audit Committee, and each of Ms. Schneider and Mr. Quella during his or her tenure, satisfies the independence requirements of the NYSE corporate governance standards and Rule 10A-3 under the Exchange Act and is financially literate (as defined under the rules of the NYSE). In arriving at this determination, our Board of Directors has examined each Audit Committee member’s scope of experience, the nature of their prior and/or current employment and all other factors determined to be relevant under the rules and regulations of the NYSE and the SEC.

Tracy Knox serves as the chair of our Audit Committee. Our Board of Directors has determined that Ms. Knox qualifies as an audit committee financial expert within the meaning of SEC regulations and meets the financial sophistication requirements of the NYSE rules. In making this determination, our Board of Directors has considered formal education and previous professional experience in financial roles. Both our independent registered public accounting firm and management periodically meet privately with the audit committee members.

Our Board of Directors has delegated the oversight of cybersecurity risks to the Audit Committee. The Audit Committee assists the Board in its oversight of the Company’s policies and practices employed to identify, assess and manage key risks facing Getty Images, including cybersecurity risks. Members of management, including the Company’s Chief Technology Officer, provide the Audit Committee with updates on cybersecurity and information technology matters. In turn, the Audit Committee and management also provide updates to the Board of Directors.

During 2025, our Audit Committee met six times and acted by unanimous written consent three times.

Compensation Committee

Our Compensation Committee is responsible for assisting our Board of Directors in the discharge of its responsibilities relating to the compensation of our executive officers. In fulfilling its purpose, our Compensation Committee has the following principal duties:

•reviewing and approving the corporate goals and objectives that pertain to the determination of executive compensation;

The Compensation Committee has engaged Compensia, Inc. as our independent consultant. In 2025, Compensia, Inc. viewed both executive and director compensation and did not provide us any other services. Compensia, Inc. reported directly to the Compensation Committee and provided guidance on trends in executive and non-employee director compensation, the development of specific executive compensation programs, the composition of our compensation peer group and other matters as directed by the Compensation Committee. The Compensation Committee reviewed Compensia, Inc.’s independence and determined that there were no conflicts of interest as a result of this engagement.

During 2025, our Compensation Committee met five times and acted by unanimous written consent one time.

Board and Committee Self-Evaluations

In accordance with the Company’s Corporate Governance Guidelines, the Board of Directors and its committees conduct annual self-evaluations to assess their effectiveness and identify opportunities for improvement. These evaluations include discussions among directors and committee members regarding board and committee composition and structure, and the effectiveness of board and committee processes, decision making and oversight of management.

PROPOSAL 1: ELECTION OF DIRECTORS

Our Board of Directors currently consists of ten directors and is divided into three classes. Each class serves for three years, with the terms of office of the respective classes expiring in successive years. Directors in Class I will stand for election at the 2026 Annual Meeting for a three-year term expiring at the 2029 annual meeting of stockholders. The terms of office of directors in Class II and Class III do not expire until the annual meetings of stockholders held in 2027 and 2028, respectively. At the recommendation of our Nominating and Corporate Governance Committee, our Board of Directors proposes that each of the three Class I nominees named below, each of whom is currently serving as a director in Class I, be elected as a Class I director for a three-year term expiring at the 2029 annual meeting of stockholders and until such director’s successor is duly elected and qualified or until such director’s earlier death, resignation, retirement, disqualification, or removal. Each director will be elected by a plurality of the votes cast by the holders of our Class A common stock present in person, electronically or represented by proxy at the 2026 Annual Meeting and entitled to vote on the election of such directors. This means that the three individuals nominated for election to our Board of Directors at the 2026 Annual Meeting receiving the highest number of affirmative “FOR” votes will be elected as directors.

In accordance with our Corporate Governance Guidelines, any nominee for director in an uncontested election who receives a greater number of votes “WITHHELD” from his or her election than votes “FOR” such election must tender his or her resignation to the Board from the Board and all committees thereof, and the Nominating and Corporate Governance Committee shall assess the appropriateness of such nominee continuing to serve as a director and shall recommend to the Board the action to be taken with respect to such tendered resignation. Patrick Maxwell

Mr. Maxwell has served on our Board of Directors since October 2012. Mr. Maxwell has followed a career in private equity investment management since 1991, initially working with the UK-based investment bank, Hambros. Amongst other deals he was involved with, Mr. Maxwell led Hambros’ co-investment alongside the Getty family in the founding of Getty Images. Mr. Maxwell also spent four years living and working in South Africa establishing an investment banking business for Hambros in that region. In May 2004, Mr. Maxwell began working with Mark Getty and the Getty family office, Sutton Place. Mr. Maxwell’s primary focus has been to build family wealth via long term business-building investments in the content-based media sector, including Getty Images, the Wisden Cricinfo group, 7 Digital, Hawk-Eye Innovations and Hakluyt & Co. Mr. Maxwell has also been involved in the oversight of Getty family interests in Wormsley Estate (the Getty family’s home and multi-activity rural estate in the UK) and in &Beyond (a South African-based luxury adventure travel and lodging business).

In addition to his board position at Getty Images, Mr. Maxwell has served on the board of directors of &Beyond since July 2007, the Management Committee of the Munywana Conservancy Controllers’ Association since July 2025 and the Board of Trustees of The Africa Foundation Trust since November 2014. Mr. Maxwell was a Trustee of the Royal Ballet School from 2000 to 2011, a Trustee and Investment Committee Chairman of the Henry Smith Charity, a £1 billion UK endowment-based grant-making charity, from 2011 to 2019 and a Director of the UK Tennis & Rackets Association from 2013 to 2018. Mr. Maxwell is a graduate of Oxford University and qualified as a Chartered Accountant with PWC in 1990.

We believe Mr. Maxwell is qualified to serve on our Board of Directors because of his significant investment and financial expertise, and his historical familiarity with our business and his extensive experience in the content-based media sector.

Jeffrey Titterton

Mr. Titterton has served on our Board of Directors since November 2022, currently serves as the Chief Marketing Officer of Stripe, Inc., and served as the Chief Operating Officer of Zendesk Inc. from April 2021 until November 2022. He previously served as Zendesk Inc.’s Chief Marketing Officer from October 2018 until April 2021 and its Senior Vice President, Marketing from May 2017 to October 2018. From January 2017 to May 2017, Mr. Titterton served as the Head of Global Campaign and Engagement Marketing for Adobe Inc., a software company, and as Head of Engagement Marketing, Creative Cloud, from August 2013 to January 2017. Prior to that, Mr. Titterton served as the Chief Marketing Officer for 99designs, a graphic design marketplace, from August 2011 to August 2013.

Mr. Titterton holds a B.A. degree in English with a concentration in economics from Cornell University.

Thomas Walper

Mr. Walper was recommended for consideration to our Board of Directors by a third party advisor, vetted by our Nominating and Governance Committee and subsequently appointed to our Board of Directors on July 20, 2026. Mr. Walper has served as the President of Walper Advisory Inc. since March 2026, and previously spent nearly 30 years as a partner at Munger, Tolles & Olson LLP until March 2025. Mr. Walper also served as Head of Corporate Restructuring at Plainfield Asset Management; a hedge fund focused on distressed and opportunity investments. Mr. Walper is an accomplished executive, attorney, and board director with more than 40 years of experience guiding companies and creditors through complex financial restructurings and strategic transformations.

Since retiring from legal practice in 2025, Mr. Walper served on the board of 23andMe (formerly Nasdaq: ME) from March 2025 until December 2025, and has served on the board of subsidiaries of QVC Group Inc. (OTC: QVCAQ, QVCBQ, QVCPQ) since September 2025. Mr. Walper also serves on several private company boards. Mr. Walper is a Fellow of the American College of Bankruptcy and is widely recognized as a leading advisor in bankruptcy and restructuring. Mark Getty

Mr. Getty has served as the Chair of our Board of Directors since he co-founded Getty Images in March 1995 and was Executive Chair of Getty Images through 2005. From 2005 to 2018, he was a non-executive director on our Board of Directors and in 2018 resumed the role of Chair of Getty Images by the Getty Family Stockholders. In the late 1980s, Mr. Getty began his professional career with Kidder Peabody in New York and then joined Hambros Bank Limited in London in 1991.

In his capacity as Trustee and Director of various Getty family entities, Mr. Getty oversees a diverse program of investments in all asset classes. In addition, he has been particularly involved in the family’s direct private equity investment activities, which have included: Wisden Crincinfo, a leading online publisher of cricket data; Hawk-Eye, a sports technology business that is a leader in ball tracking for officiating and broadcast enhancement in tennis, soccer and cricket; Hakluyt, a UK-based provider of commercial and strategic intelligence and research services to major corporate and financial institutions; and &Beyond Group, a leading luxury adventure travel and lodging business in Africa, where Mr. Getty also acts as the Co-Chairman.

Mr. Getty was a trustee of the National Gallery in London between 1999 and 2015, as well as its Chair between 2008 and 2015. He was appointed KBE in 2016 in recognition of his services to the Arts. Mr. Getty also served as Chair of Trustees of the British School in Rome from 2017 to 2026.

Chinh Chu

Mr. Chu has served as a director on our Board of Directors since the Closing Date and previously served as Chief Executive Officer and Director of CCNB from May 2020 through the Closing Date. He is the Founder and Senior Managing Director of CC Capital, a private investment firm focused on investing in and operating high-quality businesses for the long term. In May 2025, he was appointed President of M-3 Brigade Acquisition V Corp. (NASDAQ: MBAV), which then announced a business combination agreement with ReserveOne, Inc., a first-of-its-kind digital asset management firm. He led CC Capital’s incubation of Ceres Life Insurance Company, an annuity platform, and the platform’s combination with Westaim and Arena Investors, LP to create an integrated insurance and asset management platform.

Since founding CC Capital in 2015, Mr. Chu has also spearheaded the firm’s investments in Wilshire, Utz Brands, Inc. (NYSE: UTZ), E2open Parent Holdings, Inc. (NYSE: ETWO), and Dun & Bradstreet Corporation (NYSE: DNB), which CC Capital took private in a $7.2 billion acquisition that closed in February 2019 before its subsequent IPO in July 2020. Prior to founding CC Capital, Mr. Chu spent 25 years at Blackstone, where he served as Senior Managing Director, Co-Head of Private Equity, and a member of the firm’s Executive Committee.

Mr. Chu is currently Executive Chair of the Board of The Westaim Corporation (TSXV: WED). Mr. Chu has previously served on the boards of numerous public and private companies, including serving as Chairman of the Board of E2 Open and as a Director of Dun & Bradstreet until August 2025, and as Vice Chairman of Collier Creek Holdings (NYSE: CCH) until August 2020, when it consummated the acquisition of Utz Brands Holdings, LLC, the parent company

of Utz Quality Foods, LLC to form Utz Brands (NYSE: UTZ). Mr. Chu began his career at Salomon Brothers in the M&A group and holds a B.S. in Finance from the University of Buffalo.

Tracy Knox

Ms. Knox has served as a director on our Board of Directors since April 10, 2024, and she previously served as the Chief Financial Officer of Rover Group, Inc., the world’s largest online marketplace for pet care from 2017 through its public listing and SPAC merger in 2021, eventually retiring at the end of 2022. Prior to that, Ms. Knox served as Chief Financial Officer of Rightside, a leading domain name service company from its public listing in 2014 until its sale in 2017, as Chief Financial Officer at A Place for Mom from 2013 until 2014, as Chief Financial Officer at UIEvolution from 2011 until 2013, and at drugstore.com from 2003, including as Chief Finance Officer from 2008 until 2011.

Ms. Knox also serves on the boards of Babylist since 2021, Pet Partners since 2023, and JumpCloud since 2026. Ms. Knox holds a B.S. in Accounting from Indiana University and a M.B.A. with honors from University of Washington.

Craig Peters

Craig Peters has served as our Chief Executive Officer and a director since 2019. As CEO, Mr. Peters has overarching responsibility for the organization across its Getty Images, iStock and Unsplash brands. Mr. Peters joined Getty Images in 2007 and prior to being appointed CEO in 2019, he served as Chief Operating Officer with previous leadership roles across Content, Product, Marketing, Technology and Business Development.

Prior to joining Getty Images, Mr. Peters held key leadership roles in media and technology within established and early stage organizations. These included WireImage (acquired by Getty Images), FOX Sports Interactive, the PGA TOUR, Homestead.com (acquired by Intuit) and positions with A.T. Kearney and Eastman Kodak Company. In 2005 while at the PGA TOUR, Craig accepted an Emmy by the National Television Academy for Outstanding Achievement in Advanced Media Technology for the Enhancement of Original Television Content. Mr. Peters holds an M.B.A. from The Wharton School of Business and a B.S. in Finance from The Ohio State University.

Elizabeth Abrams

Ms. Abrams was recommended for consideration to our Board of Directors by a third party advisor, vetted by our Nominating and Governance Committee and subsequently appointed to our Board of Directors on July 20, 2026, and has served as the Founder and Managing Member of Spruce Brook Partners, an independent firm providing corporate governance services, since April 2023. Ms. Abrams has served on the board of Cumulus Media (OTC: CMLSQ) since March 2026, and served on the board of Luminar Technologies (OTC: LAZRQ) from November 2025 until April 2026. Ms. Abrams also serves as a director and fiduciary for private companies and not-for-profit organizations. Ms. Abrams has spent her career in corporate finance, working with boards, investors, and management teams to develop strategies to navigate transformational change.

Ms. Abrams spent most of her career as an investment banker, most recently as a Senior Managing Director at Guggenheim Securities until 2021, and prior to that with Millstein & Co. and Miller Buckfire. Ms. Abrams also previously served as the chief financial officer of K Health Inc. from 2021 to 2022.

Ms. Abrams received a Bachelor of Science degree and a Bachelor of Applied Science degree from the University of Pennsylvania Management and Technology Program.

Michael Harris

Mr. Harris has served on our Board of Directors since February 2019. Since 2024, Mr. Harris has also served as a Senior Managing Director of Koch Equity Development, where he has been employed since October 2013. Mr. Harris is responsible for the origination, evaluation and execution of acquisitions and investments for Koch, Inc. In this capacity, he evaluates opportunities across industries with specific expertise in the software, technology, aerospace and defense, and industrial manufacturing sectors. Prior to joining Koch, Mr. Harris has worked for Bank of America Merrill Lynch advising clients on mergers and acquisitions, capital deployment and structured equity capital alternatives from 2011 to 2013. He has also previously worked at Orbital Sciences Corporation as a mechanical engineer in their Launch Systems group from 2005 to 2011.

In addition to his board position at Getty Images, Mr. Harris has served as a board observer of Infor since 2017. He formerly served on the board of Truck-Lite, a leading manufacturer of lighting solutions for commercial and off-road vehicles from December 2015 to December 2019, and on the board of managers of ASP CPM Holdings LLC from January 2024 to May 2026. Mr. Harris holds his B.S. and M.S. degrees in Mechanical Engineering from Brigham Young University. He also holds an M.B.A. degree from Columbia Business School.

We believe Mr. Harris is qualified to serve on our Board of Directors because of his broad experience in the finance, software and technology industries, as well as his product development experience.

PROPOSAL 2: RATIFICATION OF APPOINTMENT OF INDEPENDENT REGISTERED

PUBLIC ACCOUNTING FIRM

Our Audit Committee has appointed Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2026. Our Board has directed that this appointment be submitted to our stockholders for ratification at the 2026 Annual Meeting. Although ratification of our appointment of Ernst & Young LLP is not required, we value the opinions of our stockholders and believe that stockholder ratification of our appointment is a good corporate governance practice.

Ernst & Young LLP has also served as our independent registered public accounting firm for the fiscal years ended December 31, 2025, and 2024. Neither the accounting firm nor any of its members has any direct or indirect financial interest in or any connection with us in any capacity other than as our auditors, providing audit and non-audit related services. A representative of Ernst & Young LLP is expected to attend the 2026 Annual Meeting and to have an opportunity to make a statement and be available to respond to appropriate questions from stockholders.

In the event that the appointment of Ernst & Young LLP is not ratified by the stockholders, the Audit Committee will consider this fact when it appoints the independent registered public accounting firm for the fiscal year ending December 31, 2027. Audit Committee Pre-Approval Policy and Procedures

The Audit Committee pre-approves all audit and permissible non-audit services provided by Ernst & Young LLP (the “Independent Auditors”). These services may include audit services, audit-related services, tax services and other services. The Audit Committee has adopted a policy for the pre-approval of services provided by the Independent Auditors. For each proposed service, the Independent Auditors provide the Audit Committee with a description of the service and sufficient information to confirm the Independent Auditors’ determination that the provision of such service will not impair the Independent Auditors’ independence. Any requests for audit, audit-related, tax and other services must initially be submitted to the Company’s Chief Financial Officer. Any requests preliminarily approved by the Chief Financial Officer are then submitted to the Audit Committee for approval in the case of services requiring specific pre-approval or reported to the Audit Committee periodically in the case of services generally pre-approved. The Audit Committee has approved in advance certain permitted services whose scope is routine across business units, including statutory or other financial audit work for non-U.S. subsidiaries that is not required for the Exchange Act audits.

The Company’s independent registered public accounting firm also provided the Audit Committee with a formal written statement required by PCAOB Rule 3526 (Communications with Audit Committees Concerning Independence) describing all relationships between the independent registered public accounting firm and the Company, including the disclosures required by the applicable requirements of the PCAOB regarding the independent registered public accounting firm’s communications with the Audit Committee concerning independence. PROPOSAL NO. 3 APPROVAL OF AMENDMENT TO AMENDED AND RESTATED CERTIFICATE OF INCORPORATION TO EFFECT REVERSE STOCK SPLIT

Background

As of August 17, 2026, our Charter authorizes us to issue a total of 2,006,140,000 shares of capital stock, consisting of (a) 1,000,000 shares of Preferred Stock, par value $0.0001 per share (of which none are currently outstanding), (b) 2,000,000,000 shares of Class A common stock, and (c) 5,140,000 shares of Class B Non-Voting Common Stock, par value $0.0001 per share (none of which are currently outstanding).

On August 12, 2026, subject to stockholder approval, the Board of Directors approved an amendment to our Charter to, at the discretion of the Board of Directors exercisable for a period of up to one year, effect the reverse stock split of our Class A common stock at a ratio of 1-for-5 to 1-for-20, with the exact ratio within such range to be determined by the Board of Directors at its discretion (such action, the “Reverse Stock Split”) and a reduction in the number of authorized shares of our Class A common stock by a corresponding ratio (the “Authorized Share Reduction”). The primary goal of the Reverse Stock Split is to increase the per share market price of our Class A common stock to meet the minimum per share bid price requirements for continued listing on the NYSE. We believe that a range of Reverse Stock Split ratios provides us with the most flexibility to achieve the desired results of the Reverse Stock Split. The Reverse Stock Split is not intended as, and will not have the effect of, a “going private transaction” covered by Rule 13e-3 promulgated under the Exchange Act. Although stockholders who hold fewer shares of Class A common stock immediately prior to the effective time of the Reverse Stock Split than the Reverse Stock Split ratio selected by the Board of Directors will receive only a cash payment in lieu of a fractional share and will cease to be stockholders of the Company as a result, as described under “Treatment of Fractional Shares in the Reverse Stock Split” below, we do not expect the number of stockholders affected in this manner to be significant in relation to our overall stockholder base, and any resulting reduction in the number of stockholders is an incidental effect of, rather than an intended purpose of, the Reverse Stock Split. The Reverse Stock Split is not intended to modify the rights of existing stockholders in any material respect, other than as a result of the receipt of cash in lieu of a fractional share as described herein.

If the Reverse Stock Split Proposal is approved by our stockholders and the Reverse Stock Split is effected, up to every 20 shares of our outstanding Class A common stock would be combined and reclassified into one share of Class A common stock. The actual timing for implementation of the Reverse Stock Split would be determined by the Board of Directors based upon its evaluation as to when such action would be most advantageous to us and our stockholders. Notwithstanding approval of the Reverse Stock Split Proposal by our stockholders, the Board of Directors will have the sole authority to elect whether or not and when to amend our Charter to effect the Reverse Stock Split and the Authorized Share Reduction. If the Reverse Stock Split Proposal is approved by our stockholders, the Board of Directors will make a determination as to whether effecting the Reverse Stock Split is in the best interests of us and our stockholders in light of, among other things, our ability to increase the trading price of our Class A common stock to meet the minimum stock price standards of the NYSE without effecting the Reverse Stock Split, the per share price of our Class A common stock immediately prior to the Reverse Stock Split and the expected stability of the per share price of the Class A common stock following the Reverse Stock Split. If the Board of Directors determines that it is in the best interests of us and our stockholders to effect the Reverse Stock Split, it will hold a Board of Directors meeting, or act by written consent, to determine the ratio of the Reverse Stock Split. For additional information concerning the factors the Board of Directors will consider in deciding whether to effect the Reverse Stock Split, see below under “Determination of the Reverse Stock Split Ratio” and “Board of Directors Discretion to Effect the Reverse Stock Split.”

The text of the proposed amendment to the Charter to effect the Reverse Stock Split and the Authorized Share Reduction is included as Appendix A to this proxy statement (the “Reverse Split Amendment”). If the Reverse Stock Split Proposal is approved by our stockholders, we will have the authority to file the Reverse Split Amendment with the Secretary of State of the State of Delaware, which will become effective upon its filing; provided, however, that the Reverse Split Amendment is subject to revision to include such changes as may be required by the Office of the Secretary of State of the State of Delaware and as the Board of Directors deems necessary and advisable. The Board of Directors has determined that the amendment is advisable and in the best interests of us and our stockholders and has submitted the amendment for consideration by our stockholders at the Annual Meeting.

Reasons for the Reverse Stock Split and Authorized Share Reduction

We are submitting this proposal to our stockholders for approval in order to increase the trading price of our Class A common stock to meet the minimum per share bid price requirement for continued listing on the NYSE. We believe increase in the trading price of our Class A common stock may also assist in our capital-raising efforts by making our Class A common stock more attractive to a broader range of investors, including institutional investors. Accordingly, we believe that the Reverse Stock Split is in our stockholders’ best interests.

Maintaining our listing on the NYSE is important to us and our stockholders. Continued listing supports liquidity for our Class A common stock, facilitates access to capital on more favorable terms and enhances our attractiveness to potential strategic partners, collaborators and investors. A NYSE listing also provides a level of visibility and credibility with the investment community that we believe would be difficult to replicate if our Class A common stock were to trade only on the over-the-counter markets, and helps support continued analyst coverage and institutional investor interest in our Class A common stock. Loss of our NYSE listing could adversely affect our ability to raise additional capital, could reduce the trading volume and liquidity of our Class A common stock, and could make our Class A common stock less attractive to current and prospective stockholders, employees and business partners. Our Board of Directors believes that preserving our NYSE listing is consistent with, and supportive of, our broader efforts to maximize long-term stockholder value, including our ongoing evaluation of strategic alternatives.

On March 17, 2026, the Company received written notice from the NYSE that the Company was not in compliance with the NYSE’s continued listing standard set forth in Section 802.01C of the NYSE Listed Company Manual because the average closing price of the Company’s Class A common stock was less than $1.00 over a consecutive 30 trading-day period. In order to regain compliance, our Class A common stock must, on the last trading day of any calendar month have a closing share price of at least $1.00 and an average closing share price of at least $1.00 over the preceding 30 trading-day period.

We believe that the Reverse Stock Split is our best option to meet the criteria to satisfy such requirement for continued listing on the NYSE. A decrease in the number of outstanding shares of our Class A common stock resulting from the Reverse Stock Split should, absent other factors, assist in ensuring that the per share trading price of our Class A common stock remains above the requisite price for continued listing. However, we cannot provide any assurance that our trading price will satisfy the minimum trading price requirement of the NYSE following the Reverse Stock Split.

In addition, as noted above, we believe that the Reverse Stock Split and the resulting increase in the per share price of our Class A common stock could encourage increased investor interest in our Class A common stock and promote greater liquidity for our stockholders. A greater price per share of our Class A common stock could allow a broader range of institutions to invest in our Class A common stock (namely, funds that are prohibited or discouraged from buying stocks with a price below a certain threshold), potentially increasing marketability, trading volume and liquidity of our Class A common stock. Many institutional investors view stocks trading at low prices as unduly speculative in nature and, as a result, avoid investing in such stocks. We believe that the Reverse Stock Split will provide our Board of Directors with flexibility to make our Class A common stock a more attractive investment for these institutional investors, which we believe will enhance the liquidity for the holders of our Class A common stock and may facilitate future sales of our Class A common stock. The Reverse Stock Split could also increase interest in our Class A common stock for analysts and brokers who may otherwise have policies that discourage or prohibit them from following or recommending companies with low stock prices. Additionally, because brokers’ commissions on transactions in low-priced stocks generally represent a higher percentage of the stock price than commissions on higher-priced stocks, the current average price per share of our Class A common stock can result in individual stockholders paying transaction costs representing a higher percentage of their total share value than would be the case if the share price were substantially higher.

Our Board of Directors intends to effect the Reverse Stock Split only if it believes that a decrease in the number of shares outstanding is in the best interests of us and our stockholders and is likely to improve the trading price of our Class A common stock and improve the likelihood that we will be allowed to maintain our listing on the NYSE. Accordingly, our Board of Directors approved the Reverse Stock Split as being in the best interests of the Company.

As a matter of Delaware law, the implementation of the Reverse Stock Split does not require a reduction in the total number of authorized shares of our Class A common stock. However, if stockholders adopt and approve the Reverse Stock Split Proposal to effect the Reverse Stock Split and the Authorized Share Reduction and the Reverse Stock Split is

implemented, the authorized number of shares of our Class A common stock also would be reduced by a corresponding ratio.

Risks Associated with the Reverse Stock Split

The reverse stock split may not increase the price of our Class A common stock over the long-term.

As noted above, the principal purpose of the Reverse Stock Split is to increase the trading price of our Class A common stock to meet the minimum stock price standards of the NYSE, so that we can remain a NYSE-listed company. However, the effect of the Reverse Stock Split on the market price of our Class A common stock cannot be predicted with any certainty, and we cannot assure you that the Reverse Stock Split will accomplish this objective for any meaningful period of time, or at all. While we expect that the reduction in the number of outstanding shares of Class A common stock will proportionally increase the market price of our Class A common stock, we cannot assure you that the Reverse Stock Split will increase the market price of our Class A common stock by a multiple of the Reverse Stock Split ratio, or result in any permanent or sustained increase in the market price of our Class A common stock. The market price of our Class A common stock may be affected by other factors which may be unrelated to the number of shares outstanding, including the Company’s business and financial performance, general market conditions, and prospects for future success.

The reverse stock split may decrease the liquidity of our Class A common stock.

Our Board of Directors believes that the Reverse Stock Split may result in an increase in the market price of our Class A common stock, which could lead to increased interest in our Class A common stock and possibly promote greater liquidity for our stockholders. However, the Reverse Stock Split will also reduce the total number of outstanding shares of Class A common stock, which may lead to reduced trading and a smaller number of market makers for our Class A common stock, particularly if the price per share of our Class A common stock does not increase as a result of the Reverse Stock Split.

The reverse stock split may result in some stockholders owning “odd lots” that may be more difficult to sell or require greater transaction costs per share to sell.

If the Reverse Stock Split is implemented, it will increase the number of stockholders who own “odd lots” of less than 100 shares of Class A common stock. A purchase or sale of less than 100 shares of Class A common stock (an “odd lot” transaction) may result in incrementally higher trading costs through certain brokers, particularly “full service” brokers. Therefore, those stockholders who own fewer than 100 shares of Class A common stock following the Reverse Stock Split may be required to pay higher transaction costs if they sell their Class A common stock.

The reverse stock split may lead to a decrease in our overall market capitalization.

The Reverse Stock Split may be viewed negatively by the market and, consequently, could lead to a decrease in our overall market capitalization. If the per share market price of our Class A common stock does not increase in proportion to the Reverse Stock Split ratio, then the value of our Company, as measured by our market capitalization, will be reduced. Additionally, any reduction in our market capitalization may be magnified as a result of the smaller number of total shares of Class A common stock outstanding following the Reverse Stock Split.

Potential Consequences if the Reverse Stock Split Proposal is Not Approved

If the Reverse Stock Split Proposal is not approved by our stockholders, our Board of Directors will not have the authority to effect the Reverse Split Amendment to, among other things, facilitate the continued listing of our Class A common stock on the NYSE by increasing the per share trading price of our Class A common stock to help ensure a share price high enough to satisfy the minimum price requirement. Any inability of our Board of Directors to effect the Reverse Stock Split would expose us to delisting from the NYSE. Upon delisting from the NYSE, our stock would be traded in the over-the-counter (“OTC”) market via a broker-dealer network. Investors may be required to take additional steps and/or pay additional fees when trading OTC securities because trades must be made through market makers who carry an inventory of securities to facilitate trading. Some institutional investors and retail brokers refrain from buying OTC securities, as they are generally considered to be more risky, with less stringent reporting requirements and lower transparency associated with these securities. As a result, OTC securities have less liquidity than securities traded on a national exchange, such as the NYSE.

Determination of the Reverse Stock Split Ratio

Our Board of Directors believes that stockholder approval of a range of potential Reverse Stock Split ratios is in the best interests of us and our stockholders because it is not possible to predict market conditions at the time the Reverse Stock Split would be implemented. We believe that a range of Reverse Stock Split ratios provides us with the most flexibility to achieve the desired results of the Reverse Stock Split. The Reverse Stock Split ratio to be selected by our Board of Directors will not be more than 1-for-20.

The selection of the specific Reverse Stock Split ratio will be based on several factors, including, among other things:

•our ability to maintain the listing of our Class A common stock on the NYSE;

•the per share price of our Class A common stock immediately prior to the Reverse Stock Split;

•the expected stability of the per share price of our Class A common stock following the Reverse Stock Split;

•the likelihood that the Reverse Stock Split will result in increased marketability and liquidity of our Class A common stock;

•prevailing market conditions;

•general economic conditions in our industry; and

•our market capitalization before and after the Reverse Stock Split.

We believe that granting our Board of Directors the authority to set the ratio for the Reverse Stock Split is essential because it allows us to take these factors into consideration and to react to changing market conditions. If our Board of Directors chooses to implement the Reverse Stock Split, the Company will make a public announcement regarding the determination of the Reverse Stock Split ratio.

Board of Directors Discretion to Effect the Reverse Stock Split

If the Reverse Stock Split Proposal is approved by our stockholders, our Board of Directors will have the discretion to implement the Reverse Stock Split or to not effect the Reverse Stock Split at all. The Board of Directors currently intends to effect the Reverse Stock Split. If the trading price of our Class A common stock increases without effecting the Reverse Stock Split, the Reverse Stock Split may not be necessary. Our Board of Directors believes it is important to retain the authority to effect the Reverse Stock Split even if we pursue, or are pursuing, other efforts intended to increase the trading price of our Class A common stock, because those other efforts may not succeed, or, even if they initially succeed, the trading price of our Class A common stock could subsequently decline due to overall market conditions or other factors unrelated to those efforts. Retaining this authority allows the Board of Directors to respond promptly to such circumstances without the delay and expense of seeking additional stockholder approval. Following the Reverse Stock Split, if implemented, there can be no assurance that the market price of our Class A common stock will rise in proportion to the reduction in the number of outstanding shares resulting from the Reverse Stock Split or that the market price of the post-split Class A common stock can be maintained above $1.00. There also can be no assurance that our Class A common stock will not be delisted from the NYSE, including for other reasons.

If our stockholders approve the Reverse Stock Split Proposal, the Reverse Stock Split and Authorized Share Reduction will be effected, if at all, only upon a determination by the Board of Directors that the Reverse Stock Split and the Authorized Share Reduction are in the best interests of us and our stockholders at that time. No further action on the part of the stockholders will be required to either effect or abandon the Reverse Stock Split or the Authorized Share Reduction. If our Board of Directors does not implement the Reverse Stock Split and Authorized Share Reduction prior to the one-year anniversary of the date on which the Reverse Stock Split Proposal is approved by the stockholders, the authority granted in this proposal to implement the Reverse Stock Split and the Authorized Share Reduction will terminate and the Reverse Split Amendment will be abandoned.

The market price of our Class A common stock is dependent upon our performance and other factors, some of which are unrelated to the number of shares outstanding. If the Reverse Stock Split is effected and the market price of our Class A common stock declines, the percentage decline as an absolute number and as a percentage of our overall market capitalization may be greater than would occur in the absence of the Reverse Stock Split.

We have not proposed the Reverse Stock Split in response to any effort of which we are aware to accumulate our shares of Class A common stock or obtain control of the Company, nor is it a plan by management to recommend a series of similar actions to our Board of Directors or our stockholders. Notwithstanding the decrease in the number of outstanding shares of Class A common stock following the Reverse Stock Split, our Board of Directors does not intend for this transaction to be the first step in a “going private transaction” within the meaning of Rule 13e-3 of the Exchange Act. Although a limited number of stockholders holding a small number of shares of Class A common stock may receive only cash and cease to be stockholders as a result of the treatment of fractional shares in the Reverse Stock Split, as described under “Treatment of Fractional Shares in the Reverse Stock Split” below, we do not believe that this effect is material in relation to our overall stockholder base, and we do not believe the Reverse Stock Split should be considered a “going private” transaction within the meaning of Rule 13e-3.

Effects of the Reverse Stock Split

Effects of the reverse stock split on issued and outstanding shares

If the Reverse Stock Split is effected, it will reduce the total number of issued and outstanding shares of Class A common stock by a Reverse Stock Split ratio of 1-for-5 to 1-for-20. Accordingly, each of our stockholders will own fewer shares of Class A common stock as a result of the Reverse Stock Split. However, the Reverse Stock Split will affect all stockholders uniformly and will not affect any stockholder’s percentage ownership interest in the Company, except to the extent that a stockholder receives cash in lieu of a fractional share of Class A common stock in the Reverse Stock Split. Therefore, voting rights and other rights and preferences of the holders of Class A common stock will not be affected by the Reverse Stock Split (other than as a result of the receipt of cash in lieu of a fractional share). Class A common stock issued pursuant to the Reverse Stock Split will remain fully paid and nonassessable, and the par value per share of Class A common stock will remain $0.0001.

As of August 17, 2026, we had 421,018,476 shares of Class A common stock outstanding. For purposes of illustration, if the Reverse Stock Split is effected at a ratio of 1-for-5 or 1-for-20, the number of issued and outstanding shares of Class A common stock after the Reverse Stock Split would be approximately 84,200,000 shares and 21,100,000 shares, respectively.

We are currently authorized to issue a maximum of 2,000,000,000 shares of our Class A common stock. As of August 17, 2026, there were 421,018,476 shares of our Class A common stock issued and outstanding. The number of authorized shares of our Class A common stock will be reduced in proportion to the ratio selected by the Board of Directors pursuant to the Authorized Share Reduction.

Effects of the reverse stock split on outstanding equity awards and plans

Under each of the 2022 Plan and 2022 ESPP, the Reverse Stock Split is expected to result in proportionate adjustment of the applicable awards or securities as further described in “Proposal No. 4 Approval Of First Amendment To The Getty Images Holdings, Inc. 2022 Equity Incentive Plan—Equitable Adjustment; Treatment upon Change in Control” and “Proposal No. 5 Approval Of First Amendment To The Getty Images Holdings, Inc. 2022 Employee Stock Purchase Plan—Capitalization Adjustments,” respectively.

Effects of the reverse stock split on voting rights

Proportionate voting rights and other rights of the holders of Class A common stock would not be affected by the Reverse Stock Split (other than as a result of the receipt of cash in lieu of a fractional share). For example, a holder of 1% of the voting power of the outstanding Class A common stock immediately prior to the effective time of the Reverse Stock Split would continue to hold 1% of the voting power of the outstanding Class A common stock after the Reverse Stock Split.

Effects of the reverse stock split on regulatory matters

We are subject to the periodic reporting and other requirements of the Exchange Act. The Reverse Stock Split will not affect our obligation to publicly file financial and other information with the SEC.

Treatment of Fractional Shares in the Reverse Stock Split

The Company does not intend to issue fractional shares of Class A common stock in the event that a stockholder owns a number of shares of Class A common stock that is not evenly divisible by the Reverse Stock Split ratio. Instead, stockholders who otherwise would be entitled to receive a fractional share of Class A common stock as a result of the Reverse Stock Split will receive a cash payment in lieu of such fractional share, as described below. If the Reverse Stock Split is effected, each fractional share of Class A common stock will be:

•converted into the right to receive a cash payment, without interest, in lieu thereof, in an amount equal to the product of such fraction multiplied by the average of the closing sale prices of the Class A common stock on the NYSE for the five consecutive trading days immediately preceding the effective date of the Reverse Stock Split (or, if the Class A common stock does not trade on the NYSE during such period, based on such other measure of the fair market value of the Class A common stock as our Board of Directors determines to be appropriate), if such shares of Class A common stock are held directly; or

•rounded down to the nearest whole share of Class A common stock, if such shares are subject to an award granted under an equity incentive plan, in order to comply with the requirements of Sections 409A and 424 of the Internal Revenue Code of 1986, as amended (the “Code”).

No holder of Class A common stock will be entitled to receive interest on any cash payment made in lieu of a fractional share, and such cash payments will be paid from the Company’s available funds. No stockholder of record will be required to pay any fee or service charge to us or our transfer agent in connection with the payment of cash in lieu of a fractional share of Class A common stock to which they may otherwise be entitled. As soon as practicable following the effective time of the Reverse Stock Split, our transfer agent will process the payment of cash in lieu of fractional shares to stockholders who hold their shares directly. Generally, stockholders who hold their shares in “street name” through a bank, broker or other nominee will have the cash payment for any fractional share credited to their account by such bank, broker or other nominee following receipt of the aggregate cash payment from our transfer agent. The precise treatment, timing and procedures, including whether any fee or service charge will be imposed, are determined by each individual bank, broker or nominee and may differ from the treatment, timing and procedures applicable to stockholders who hold their shares of record directly with our transfer agent. Stockholders who hold their shares in street name should contact their bank, broker or other nominee with any questions regarding the treatment, timing, procedures, manner or cost of receiving payment for any fractional share.

Stockholders should also be aware that, because fractional shares will be paid out in cash rather than rounded up to a whole share, a stockholder who holds a number of shares of Class A common stock immediately prior to the effective time of the Reverse Stock Split that is less than the Reverse Stock Split ratio selected by the Board of Directors will not receive any whole share of New Class A common stock and will instead receive only a cash payment for the resulting fractional share, and such stockholder will cease to be a stockholder of the Company following the Reverse Stock Split. For example, if the Board of Directors selects a Reverse Stock Split ratio of 1-for-20, a stockholder holding fewer than 20 shares of Class A common stock immediately prior to the effective time would receive only cash and would no longer hold any shares of Class A common stock following the Reverse Stock Split.

If a stockholder entitled to receive a cash payment in lieu of a fractional share cannot be located, or does not cash a check issued in payment thereof within the time period specified by applicable law, the amount of such payment may be treated as unclaimed property and, to the extent required by applicable law, remitted to the relevant state, and the stockholder’s right to receive such payment may thereafter be subject to the applicable state’s unclaimed or abandoned property laws.

Effective Time of the Reverse Stock Split

If the Reverse Stock Split Proposal is approved by our stockholders, the Reverse Stock Split would become effective, if at all, when the Reverse Split Amendment is accepted and recorded by the office of the Secretary of State of the State of Delaware. However, notwithstanding approval of the Reverse Stock Split Proposal by our stockholders, the Board of Directors will have the sole authority to elect whether or not and when to amend our Charter to effect the Reverse Stock Split.

Appraisal Rights

Under the Delaware General Corporation Law, our stockholders are not entitled to appraisal or dissenter’s rights with respect to the Reverse Stock Split, and we will not independently provide our stockholders with any such rights.

Regulatory Approvals

The Reverse Stock Split will not be consummated, if at all, until after approval of the stockholders is obtained. We are not obligated to obtain any governmental approvals or comply with any state or federal regulations prior to consummating the Reverse Stock Split other than the filing of the Reverse Split Amendment with the Secretary of State of the State of Delaware.

Accounting Treatment of the Reverse Stock Split

If the Reverse Stock Split is effected, the par value per share of our Class A common stock will remain unchanged at $0.0001. Accordingly, on the effective date of the Reverse Stock Split, the stated capital on the Company’s consolidated balance sheets attributable to our Class A common stock will be reduced in proportion to the size of the Reverse Stock Split ratio, and the additional paid-in-capital account will be increased by the amount by which the stated capital is reduced. Our stockholders’ equity, in the aggregate, will remain unchanged. Per share net income or loss will be increased because there will be fewer shares of Class A common stock outstanding. The Company does not anticipate that any other accounting consequences, including changes to the amount of stock-based compensation expense to be recognized in any period, will arise as a result of the Reverse Stock Split.

Certain U.S. Federal Income Tax Consequences of the Reverse Stock Split

The following summary describes, as of the date of this Proxy Statement, certain U.S. federal income tax consequences of the Reverse Stock Split to holders of our Class A common stock. This summary addresses the tax consequences only to a U.S. holder, which is a beneficial owner of our Class A common stock that is either:

•an individual citizen or resident of the United States;

•a corporation, or other entity taxable as a corporation for U.S. federal income tax purposes, created or organized in or under the laws of the United States or any state thereof or the District of Columbia;

•an estate, the income of which is subject to U.S. federal income taxation regardless of its source; or

•a trust, if: (i) a court within the United States is able to exercise primary jurisdiction over its administration and one or more U.S. persons has the authority to control all of its substantial decisions or (ii) it has a valid election in place to be treated as a United States person for U.S. federal income tax purposes.

This summary is based on the provisions of the Internal Revenue Code of 1986, as amended (the “Code”), U.S. Treasury regulations, administrative rulings and judicial authority, all as in effect as of the date of this Proxy Statement. Subsequent developments in U.S. federal income tax law, including changes in law or differing interpretations, which may be applied retroactively, could have a material effect on the U.S. federal income tax consequences of the Reverse Stock Split.

This summary does not address all of the tax consequences that may be relevant to any particular investor, including tax considerations that arise from rules of general application to all taxpayers or to certain classes of taxpayers or that are generally assumed to be known by investors. This summary also does not address the tax consequences to (i) persons that may be subject to special treatment under U.S. federal income tax law, such as banks, insurance companies, thrift institutions, regulated investment companies, real estate investment trusts, tax-exempt organizations, U.S. expatriates, persons subject to the alternative minimum tax, persons whose functional currency is not the U.S. dollar, partnerships or other pass-through entities, traders in securities that elect to mark to market and dealers in securities or currencies, (ii) persons that hold our Class A common stock as part of a position in a “straddle” or as part of a “hedging transaction,” “conversion transaction” or other integrated investment transaction for federal income tax purposes or (iii) persons that do

If a partnership (or other entity classified as a partnership for U.S. federal income tax purposes) is the beneficial owner of our Class A common stock, the U.S. federal income tax treatment of a partner in the partnership will generally depend on the status of the partner and the activities of the partnership. Partnerships that hold our Class A common stock, and partners in such partnerships, should consult their own tax advisors regarding the U.S. federal income tax consequences of the Reverse Stock Split.

Each holder should consult his, her or its own tax advisors concerning the particular U.S. federal tax consequences of the Reverse Stock Split, as well as the consequences arising under the laws of any other taxing jurisdiction, including any foreign, state, or local income tax consequences.

General Tax Treatment of the Reverse Stock Split

The Reverse Stock Split is intended to qualify as a “reorganization” under Section 368 of the Code that should constitute a “recapitalization” for U.S. federal income tax purposes. Assuming the Reverse Stock Split qualifies as a reorganization, a U.S. holder generally will not recognize gain or loss upon the exchange of our Class A common shares for a lesser number of Class A common shares, based upon the Reverse Stock Split ratio, except with respect to cash received in lieu of a fractional share of our Class A common stock, as discussed below. A U.S. holder’s aggregate tax basis in the lesser number of Class A common shares received in the Reverse Stock Split will be the same such U.S. holder’s aggregate tax basis in the shares of our Class A common stock that such U.S. holder owned immediately prior to the Reverse Stock Split (excluding any portion of such basis that is allocated to any fractional share of our Class A common stock). The holding period for the Class A common shares received in the Reverse Stock Split will include the period during which a U.S. holder held the shares of our Class A common stock that were surrendered in the Reverse Stock Split. The United States Treasury regulations provide detailed rules for allocating the tax basis and holding period of the shares of our Class A common stock surrendered to the shares of our Class A common stock received pursuant to the Reverse Stock Split. U.S. holders of shares of our Class A common stock acquired on different dates and at different prices should consult their tax advisors regarding the allocation of the tax basis and holding period of such shares.

In general, a U.S. holder that receives cash in lieu of a fractional share of our Class A common stock pursuant to the Reverse Stock Split will recognize capital gain or loss in an amount equal to the difference between the amount of cash received and the U.S. holder’s tax basis in the shares of our Class A common stock surrendered that is allocated to such fractional share. Such capital gain or loss will be long term capital gain or loss if the U.S. holder’s holding period for our Class A common stock surrendered exceeded one year at the effective time of the Reverse Stock Split.

THE FOREGOING IS INTENDED ONLY AS A SUMMARY OF CERTAIN FEDERAL INCOME TAX CONSEQUENCES OF THE REVERSE STOCK SPLIT AND DOES NOT CONSTITUTE A TAX OPINION. EACH HOLDER OF OUR CLASS A COMMON SHARES SHOULD CONSULT ITS OWN TAX ADVISOR REGARDING THE TAX CONSEQUENCES OF THE REVERSE STOCK SPLIT TO THEM AND FOR REFERENCE TO APPLICABLE PROVISIONS OF THE CODE.

Recommendation of the Board of Directors

The Board of Directors recommends that you vote FOR the approval of the Reverse Split Amendment to the Charter to effect the Reverse Stock Split.

PROPOSAL NO. 4 APPROVAL OF FIRST AMENDMENT TO THE GETTY IMAGES HOLDINGS, INC. 2022 EQUITY INCENTIVE PLAN

Introduction

We are asking our stockholders to approve the First Amendment (the “Amendment”) to the Getty Images Holdings, Inc. 2022 Equity Incentive Plan (the “2022 Plan”). The Amendment was adopted by our Board of Directors on August 12, 2026, subject to approval by our stockholders at the Annual Meeting. The Amendment is intended to increase the number of shares of our Class A common stock reserved and available for future issuance under the 2022 Plan by 42,101,848 shares of Class A common stock. The Amendment will become effective as of the date of the Annual Meeting if approved by our stockholders and will not become effective if such approval is not received. The Amendment does not change any material provision of the 2022 Plan other than to increase the number of shares of Class A common stock reserved and available for future issuance under the 2022 Plan. As of August 17, 2026, the closing price of a share of our Class A common stock on the New York Stock Exchange was approximately $0.28. Unless otherwise noted, the numbers set forth in this proposal are on a pre-Reverse Stock Split basis.

Rationale for the Adoption of the Amendment

The 2022 Plan facilitates our use of equity-based awards and incentives to provide incentive compensation opportunities tied to the performance of the Company and its Class A common stock and to advance the interests of the Company and increase stockholder value by attracting, retaining and motivating key personnel upon whose judgment, initiative and effort the successful conduct of the Company’s business is largely dependent. To accomplish these purposes, the 2022 Plan provides for the issuance of stock options, stock appreciation rights (“SARs”), restricted stock, restricted stock units (“RSUs”), other stock-based awards and cash awards. The 2022 Plan will expire on July 21, 2032.

As of August 17, 2026, only 4,056,148 shares of Class A common stock were available for future issuance under the 2022 Plan. If the Amendment is not approved by our stockholders at the Annual Meeting, we expect that we will run out of shares that are available for future issuance under the 2022 Plan prior to the date of our 2027 Annual Meeting of Stockholders and will be unable to adequately incentivize our officers, employees, non-employee directors and consultants by providing them with equity-based awards under the 2022 Plan.

We are therefore requesting that our stockholders vote to approve the Amendment to increase the number of shares of Class A common stock reserved and available for future issuance under the 2022 Plan by 42,101,848 shares of Class A common stock. If the Amendment is approved, the total number of shares reserved and available for issuance with respect to further awards under the 2022 Plan (including the shares added by the Amendment) will be 46,157,996 shares of Class A common stock. If the Reverse Stock Split is also approved, the number of shares reserved and available for future issuance under the 2022 Plan (as increased by the Amendment) will be equitably adjusted. For purposes of illustration, if the Reverse Stock Split is effected at a ratio of 1-for-5 or 1-for-20, the number of shares reserved and available for future issuance under the 2022 Plan (as increased by the Amendment) after the Reverse Stock Split would be approximately 9,231,599 shares and 2,307,900 shares, respectively. Other than the additional shares described above, no other changes are being proposed to the 2022 Plan pursuant to the Amendment.

If the Amendment is approved, we expect that the shares reserved and available for future issuance under the 2022 Plan (as increased by the Amendment) will allow us to continue to grant long-term incentives in the form of equity-based awards for approximately two years following the approval of the Amendment by our stockholders.

While equity-based awards and incentives are an important part of our short- and long-term incentive compensation program, we are mindful of our responsibility to our stockholders to exercise judgment in granting equity-based awards.

In determining the number of additional shares of our Class A common stock to reserve for issuance under the Amendment, we took into account a variety of factors, including the need to adequately and appropriately incentivize our officers, employees, non-employee directors and consultants and to ensure that the interests of those individuals continue to be closely aligned with the interests of our stockholders more generally.

While the Company intends to issue awards under the 2022 Plan in the future to eligible recipients as a recruiting and retention tool, specific parameters have not been established under the 2022 Plan regarding future grants to eligible recipients. The Board of Directors or the Compensation Committee will determine the specific criteria surrounding awards under the 2022 Plan. See below under “Summary of 2022 Plan Terms and Amendment” for a summary of the material features of the 2022 Plan, including the Amendment.

Summary of the Material Terms of the 2022 Plan and the Amendment

Securities to be Offered. Subject to adjustment as provided in the 2022 Plan, a maximum of up to 46,157,996 shares of Class A common stock (as increased by the Amendment) will be reserved and available for issuance under the 2022 Plan for the remaining duration of the ten (10) year term of the 2022 Plan. Shares of Class A common stock subject to an award under the 2022 Plan that remain unissued upon the cancellation, expiration, repurchase, forfeiture, surrender, exchange or termination of the award will again become available for grant under the 2022 Plan. Shares of Class A common stock that are withheld from any award granted under the 2022 Plan in payment of the exercise, base or purchase price or taxes relating to the award will be available for future awards under the 2022 Plan.

Plan Administration. The 2022 Plan may be administered by the Board of Directors, the Compensation Committee or any committee of the Board of Directors of no fewer than two members of the Board of Directors who are appointed by the Board of Directors to administer the 2022 Plan (the Board of Directors or committee referred to above being sometimes referred to as the plan administrator).

The plan administrator has broad discretion to administer the 2022 Plan, including the power to select the officers, employees, non-employee directors and consultants who will receive awards, determine the restrictions, terms and conditions of those awards, interpret the 2022 Plan and terms of the awards, adopt rules for the administration, interpretation and application of the 2022 Plan, make all determinations with respect to a participant’s service and the termination of such service for purposes of any award, correct any defect or omission or reconcile any ambiguity or inconsistency in the 2022 Plan or any award, make all determinations it deems advisable for the administration of the 2022 Plan, decide all disputes arising in connection with the 2022 Plan and to otherwise supervise the administration of the 2022 Plan, subject to the terms of the 2022 Plan, amend the terms of an award, accelerate the vesting or, to the extent applicable, exercisability or lapse of restrictions of any award at any time and adopt such procedures, modifications or subplans as are necessary or appropriate to permit participation in the 2022 Plan by eligible participants who are foreign nationals or provide services outside of the United States. The 2022 Plan expressly prohibits the repricing or cash buyout of underwater stock options or SARs without stockholder approval.

Eligibility. As of August 17, 2026, (i) approximately 1,600 employees (including officers) were eligible to receive awards under the 2022 Plan; (ii) 2 non-employee directors were eligible to receive awards under the 2022 Plan; and (iii) no consultants were eligible to receive awards under the 2022 Plan.

Grants to Non-Employee Directors. The 2022 Plan provides that no non-employee director may be granted, during any calendar year, awards having a fair value (determined on the date of grant) that, when added to all other cash compensation received in respect of service as a member of the Board of Directors for such calendar year, exceeds $500,000.

Stock Options. The Company may issue stock options under the 2022 Plan. Options granted under the 2022 Plan may be in the form of non-qualified options or “incentive stock options” within the meaning of Section 422 of the United States Internal Revenue Code (the “Code”), as set forth in the applicable individual option award agreement. All of the shares of Class A common stock reserved for issuance under the 2022 Plan may be granted as incentive stock options. The exercise price of all stock options granted under the 2022 Plan will be determined by the plan administrator, but, except with respect to any substitute award, in no event may the exercise price be less than 100% of the fair market value of the related shares of Class A common stock on the date of grant. In the case of an incentive stock option granted to an individual who owns shares representing more than 10% of the total combined voting power of all classes of our equity securities, the exercise price of the stock option must be at least 110% of the fair market value of a share of Class A common stock on the date of grant and the stock option must not be exercisable more than five years from the date of grant. The maximum term of all stock options granted under the 2022 Plan will be determined by the plan administrator but may not exceed ten years. Each stock option will vest and become exercisable at such time and subject to such terms and conditions as determined by the plan administrator in the applicable individual stock option agreement. A participant with stock options will generally not have any rights of a stockholder with respect to the shares underlying the stock options until such time as the shares of Class A common stock are delivered to the participant.

SARs. SARs may be granted under the 2022 Plan, which may be granted on a basis that allows for the exercise of the right by its holder, or that provides for the automatic exercise or payment of the right upon a specified date or event. A SAR granted under the 2022 Plan entitles its holder to receive, at the time of exercise or upon payment, an amount per share equal to the excess of the fair market value (at the date of exercise) of a share of Class A common stock over the base price of the SAR. The plan administrator may determine to settle a SAR in cash or shares of Class A common stock (or in any combination of shares of Class A common stock and cash). Except with respect to substituted or assumed SARs, each SAR will generally be granted with a base price that is not less than 100% of the fair market value of the related shares of Class A common stock on the date of grant. The maximum term of all SARs granted under the 2022 Plan will be determined by the plan administrator but may not exceed ten years. A participant with SARs will generally not have any rights as a stockholder with respect to the shares underlying a SAR unless and until such time as shares of Class A common stock are delivered to the participant.

RSUs; Restricted Stock. RSUs and restricted stock may be granted under the 2022 Plan. The plan administrator will determine the purchase price, vesting schedule and performance objectives, if any, applicable to the grant of RSUs and restricted stock (RSUs that are subject to the achievement of performance objectives are sometimes referred to as PSUs). Unless otherwise determined by the plan administrator, if the restrictions, performance objectives or other conditions determined by the plan administrator are not satisfied, the RSUs and restricted stock will be forfeited. Unless the applicable award agreement provides otherwise, participants with restricted stock will generally have all of the rights of a stockholder during the restricted period, including the right to vote and receive dividends declared with respect to such restricted stock. Any dividends or dividend equivalents awarded with respect to restricted stock or RSUs will be subject to the same restrictions, conditions and risks of forfeiture as the underlying restricted stock or RSU. During the restricted period, participants with RSUs will generally not have any of the rights of a stockholder, but, if the applicable individual award agreement so provides, participants with RSUs may be credited with dividend equivalent rights.

Other Stock-Based Awards. Other stock-based awards may be granted under the 2022 Plan, valued by reference to, or otherwise based on, shares of Class A common stock. Other stock-based awards may be granted for past services, in lieu of bonus or other cash compensation, as directors’ compensation or for any other valid purpose as determined by the plan administrator. The plan administrator will determine the terms and conditions of other stock-based awards, and such awards may be made without vesting requirements. In addition, the plan administrator may, in connection with any other stock-based award, require the payment of a specified purchase price. Any dividend or dividend equivalent rights awarded with respect to other stock-based awards will be subject to the same restrictions, conditions and risks of forfeiture as the underlying other stock-based award.

Cash Awards. Awards that are payable solely in cash may also be granted under the 2022 Plan. Cash awards may be granted subject to the satisfaction of vesting conditions or may be awarded purely as a bonus and not subject to restrictions or conditions.

Substitute Awards. Substitute awards may be granted under the 2022 Plan, which includes shares of Class A common stock issued by the Company in assumption of, or in substitution or exchange for, awards previously granted by a company acquired by the Company or with which the Company or any subsidiary or affiliate thereof combines. Substitute awards will not be counted against the total number of shares of Class A common stock available for grants under the 2022 Plan.

Equitable Adjustment; Treatment upon Change in Control. In the event of any change with respect to the outstanding shares of Class A common stock by reason of any recapitalization, reclassification, stock dividend, extraordinary cash dividend, stock split, reverse stock split or other distribution with respect to the shares of Class A common stock or any merger, reorganization, consolidation, combination, spin-off or other corporate event or transaction or any other change affecting the Class A common stock (other than regular cash dividends to stockholders of the Company), the plan administrator is required to, in the manner and to the extent it considers appropriate and equitable to the participants and consistent with the terms of the 2022 Plan, cause an adjustment to be made to (i) the maximum number and kind of shares of Class A common stock or other securities provided in the 2022 Plan, (ii) the number and kind of shares of Class A common stock, units or other securities or rights subject to then outstanding awards, (iii) the exercise, base or purchase price for each share or unit or other security or right subject to then outstanding awards, (iv) other value determinations applicable to the 2022 Plan and/or outstanding awards, and/or (v) any other terms of an award that are affected by the event.

Unless the applicable award agreement provides otherwise, in the event of a “change in control” (as defined in the 2022 Plan) all outstanding awards under the 2022 Plan may be treated in accordance with one or more of the following

methods as determined in the plan administrator’s sole discretion: (i) be (x) continued or assumed by the Company (if it is the surviving company or corporation) or by the surviving company or corporation or its parent (with such continuation or assumption including conversion into the right to receive securities, cash or a combination of both), or (y) substituted by the surviving company or corporation or its parent for awards with substantially similar terms for outstanding awards (with appropriate adjustments to the type of consideration payable upon settlement of the awards or other relevant factors, and with any applicable performance conditions deemed achieved for any completed performance period, based on actual performance, as determined by the plan administrator or for any partial or future performance period, at a level performance determined by the plan administrator (with the award remaining subject only to time vesting), (ii) acceleration of exercisability, vesting and/or payment of outstanding awards immediately prior to or upon or following such event, (iii) upon written notice, providing that any outstanding stock options and SARs are exercisable during a period of time immediately prior to the scheduled consummation of the event or such other period as determined by the plan administrator (contingent upon the consummation of the event), and at the end of such period, such stock options and SARs will terminate to the extent not so exercised within the relevant period, or (iv) cancellation of all or any portion of outstanding awards for fair value (in the form of cash, Class A common stock, other property or any combination thereof) as determined in the sole discretion of the plan administrator. In the case of stock options and SARs or similar awards, the fair value may equal the excess, if any, of the value or amount of the consideration to be paid in the change in control transaction to holders of shares of Class A common stock (or, if no such consideration is paid, fair market value of the shares of Class A common stock) over the aggregate exercise or base price, as applicable, with respect to such awards or portion thereof being canceled, or if there is no such excess, awards may be cancelled for no consideration.

To the extent determined by the plan administrator in its discretion at any time including as set forth in an award agreement, if a participant’s service is terminated upon or within six months following a change in control, or such longer period as the plan administrator determines which may be prior to, as of or following a change in control, by the Company without cause or upon such other circumstances as determined by the plan administrator, the unvested portion (if any) of all outstanding awards held by the participant will immediately vest (and, to the extent applicable, become exercisable) and be paid in full upon such termination, with any performance conditions deemed achieved for any completed performance period, based on actual performance, or for any partial or future performance period, at the greater of the target level or actual performance, unless otherwise provided in an award agreement.

Clawback. If at any time within one year (or such longer time specified in an award agreement or other agreement with a participant or policy applicable to the participant) after the date on which a participant exercises a stock option or SAR or on which a stock-based award, restricted stock award or RSU vests, is settled in shares or otherwise becomes payable, or on which income otherwise is realized or property is received by a participant in connection with an award, (i) a participant’s service is terminated for cause (as defined in the 2022 Plan), (ii) the plan administrator determines in its discretion that the participant is subject to any recoupment of benefits pursuant to the Company’s compensation recovery, “clawback” or similar policy, as may be in effect from time to time, or (iii) after a participant’s service terminates for any other reason, the plan administrator determines in its discretion either that, during the participant’s period of service, the participant engaged in an act or omission which would have warranted termination of the participant’s service for cause or after a participant’s termination of service, the participant engaged in conduct that violated any continuing obligation or duty of the participant in respect of the Company or any subsidiary, then, at the sole discretion of the plan administrator, any gain realized by the participant from the exercise, vesting, payment, settlement or other realization of income or receipt of property by the participant in connection with an award, will be repaid by the participant to the Company upon notice from the Company, subject to applicable law.

In addition, if a participant receives compensation pursuant to an award under the 2022 Plan based on financial statements that are subsequently restated in a way that would decrease the value of such compensation, the participant will, to the extent not otherwise prohibited by law, upon the written request of the Company, forfeit and repay to the Company the difference between what the participant received and what the participant should have received based on the accounting restatement, in accordance with (i) any compensation recovery, “clawback” or similar policy, as may be in effect from time to time to which such participant is subject and (ii) any compensation recovery, “clawback” or similar policy made applicable by law including the provisions of Section 954 of the Dodd-Frank Wall Street Reform and Consumer Protection Act and the rules, regulations and requirements adopted thereunder by the Securities and Exchange Commission and/or any national securities exchange on which the Company’s equity securities may be listed.

Tax Withholding. Each participant is responsible for payment of any taxes or similar charges required by law to be paid or withheld from an award or an amount paid in satisfaction of an award. Any required withholdings will be paid by the participant on or prior to the payment or other event that results in taxable income in respect of an award. The award agreement may specify the manner in which the withholding obligation will be satisfied with respect to the particular type

of award, which may include, to the extent permitted by the plan administrator in its sole discretion, permitting the participant to elect to satisfy the withholding obligation by tendering shares of Class A common stock to the Company or having the Company withhold a number of shares of Class A common stock having a value in each case up to the maximum statutory tax rates in the applicable jurisdiction or as the plan administrator may approve in its discretion (provided that such withholding does not result in adverse tax or accounting consequences to the Company), or similar charge required to be paid or withheld. In addition, to the extent permitted by the plan administrator in its sole discretion in an award agreement or otherwise, and subject to Section 16 of the Exchange Act, withholding may be satisfied through an open-market, broker-assisted sales transaction pursuant to which the Company is promptly delivered the amount of proceeds necessary to satisfy the withholding amount, which will be subject to any terms and conditions imposed by the plan administrator. The Company has the power and the right to require a participant to remit to the Company the amount necessary to satisfy federal, state, provincial and local taxes, domestic or foreign, required by law or regulation to be withheld, and to deduct or withhold from any shares of Class A common stock deliverable under an award to satisfy such withholding obligation.

Plan Amendment and Termination. The 2022 Plan provides the Board of Directors with authority to amend, modify, suspend or terminate the 2022 Plan, but no such action may materially and adversely affect any award without the consent of the participant or the permitted transferee of the award.

Plan Term. The 2022 Plan will terminate on the tenth anniversary of the effective date of the 2022 Plan, although awards granted before that time will remain outstanding in accordance with their terms.

Summary of U.S. Federal Income Tax Consequences

The following is a summary of certain United States federal income tax consequences of awards granted to individual service providers under the 2022 Plan. It does not purport to be a complete description of all applicable rules, and those rules (including those summarized here) are subject to change.

RSUs. In general, the grant of RSUs (including PSUs) will not result in income for the participant or in a tax deduction for us. Upon the settlement of such an award in shares of Class A common stock or cash, the participant will recognize ordinary income equal to the aggregate value of the payment received, and we generally will be entitled to a tax deduction at the same time and in the same amount.

Restricted Stock. A participant generally will not be taxed upon the grant of restricted stock, but rather will recognize ordinary income in an amount equal to the fair market value of the shares of Class A common stock at the time the shares are no longer subject to a “substantial risk of forfeiture” (within the meaning of the Code). We generally will be entitled to a deduction at the time when, and in the amount that, the participant recognizes ordinary income on account of the lapse of the restrictions. A participant’s tax basis in the shares will equal their fair market value at the time the restrictions lapse, and the participant’s holding period for capital gains purposes will begin at that time. Any cash dividends paid on the restricted stock before the restrictions lapse will be taxable to the participant as additional compensation (and not as dividend income). Under Section 83(b) of the Code, a participant may elect to recognize ordinary income at the time the shares of restricted stock are awarded in an amount equal to their fair market value at that time, notwithstanding the fact that such shares of restricted stock are subject to restrictions and a substantial risk of forfeiture. If such an election is made, no additional taxable income will be recognized by such participant at the time the restrictions lapse, the participant will have a tax basis in the shares equal to their fair market value on the date of their award, and the participant’s holding period for capital gains purposes will begin at that time. We generally will be entitled to a tax deduction at the time when, and to the extent that, ordinary income is recognized by such participant.

Stock Options. An optionee generally will not recognize taxable income upon the grant of a nonqualified option. Rather, at the time of exercise of the option, the optionee will recognize ordinary income for income tax purposes in an amount equal to the excess, if any, of the fair market value of the shares of Class A common stock purchased over the exercise price. We generally will be entitled to a tax deduction at such time and in the same amount, if any, that the optionee recognizes as ordinary income. The optionee’s tax basis in any shares of Class A common stock received upon exercise of an option will be the fair market value of the shares of Class A common stock on the date of exercise, and if the shares of Class A common stock are later sold or exchanged, then the difference between the amount received upon such sale or exchange and the fair market value of such shares of Class A common stock on the date of exercise will generally be taxable as long-term or short-term capital gain or loss (if the shares are a capital asset of the optionee) depending upon the length of time such shares of Class A common stock were held by the optionee.

Incentive stock options are eligible for favorable federal income tax treatment if certain requirements are satisfied. An incentive stock option must have an option price that is not less than the fair market value of the shares of Class A common stock at the time the option is granted and must be exercisable within ten years from the date of grant. An employee granted an incentive stock option generally does not realize compensation income for federal income tax

purposes upon the grant of the option. At the time of exercise of an incentive stock option, no compensation income is realized by the optionee other than tax preference income for purposes of the federal alternative minimum tax on individual income. If the shares of Class A common stock acquired on exercise of an incentive stock option are held for at least two years after grant of the option and one year after exercise, the excess of the amount realized on the sale over the exercise price will be taxed as capital gain. If the shares acquired on exercise of an incentive stock option are disposed of within less than two years after grant or one year of exercise, the optionee will realize taxable compensation income equal to the excess of the fair market value of the shares on the date of exercise or the date of sale, whichever is less, over the exercise price, and any additional amount realized will be taxed as capital gain.

Stock Appreciation Rights. A participant who is granted a SAR generally will not recognize ordinary income upon receipt of the SAR. Rather, at the time of exercise of such SAR, the participant will recognize ordinary income for income tax purposes in an amount equal to the value of any cash received and the fair market value on the date of exercise of any shares of Class A common stock received. We generally will be entitled to a tax deduction at such time and in the same amount, if any, that the participant recognizes as ordinary income. The participant’s tax basis in any shares of Class A common stock received upon exercise of a SAR will be the fair market value of the shares of Class A common stock on the date of exercise, and if the shares are later sold or exchanged, then the difference between the amount received upon such sale or exchange and the fair market value of such shares of Class A common stock on the date of exercise will generally be taxable as long-term or short-term capital gain or loss (if the shares are a capital asset of the participant) depending upon the length of time such shares of Class A common stock were held by the participant.

Other Awards. With respect to other awards granted under the 2022 Plan, including other stock-based awards and cash awards, generally when the participant receives payment with respect to an award, the amount of cash and/or the fair market value of any shares of Class A common stock or other property received will be ordinary income to the participant, and we generally will be entitled to a tax deduction at the same time and in the same amount.

We intend to file with the SEC a registration statement on Form S-8 covering the shares reserved for issuance under the Amendment.

No awards made under the 2022 Plan were granted subject to stockholder approval of the Amendment. Future awards to be made under the 2022 Plan are subject to the discretion of the plan administrator, and accordingly, are not currently determinable.

PROPOSAL NO. 5 APPROVAL OF FIRST AMENDMENT TO THE GETTY IMAGES HOLDINGS, INC.

2022 EMPLOYEE STOCK PURCHASE PLAN

Introduction

We are asking our stockholders to approve the First Amendment (the “ESPP Amendment”) to the Getty Images Holdings, Inc. 2022 Employee Stock Purchase Plan (the “2022 ESPP”). The ESPP Amendment was adopted by the Board of Directors on August 12, 2026, subject to approval by our stockholders at the Annual Meeting. The ESPP Amendment is intended to increase the number of shares of our Class A common stock reserved and available for future issuance under the 2022 ESPP by 4,210,185 shares of Class A common stock. If the ESPP Amendment is approved, the total number of shares reserved and available for future issuance under the 2022 ESPP (including the shares added by the ESPP Amendment) will be 4,873,446 shares of Class A common stock. The ESPP Amendment will become effective as of the date of the Annual Meeting if approved by our stockholders and will not become effective if such approval is not received. The ESPP Amendment does not change any material provision of the 2022 ESPP other than to increase the number of shares of Class A common stock reserved and available for future issuance under the 2022 ESPP. Based solely on the closing price of a share of Class A common stock reported on NYSE on August 17, 2026, which was approximately $0.28, the maximum aggregate market value of the 4,873,446 shares of Class A common stock that could potentially be issued under the 2022 ESPP, as amended by the ESPP Amendment, is approximately $1,364,565. The numbers set forth in this proposal are on a pre-Reverse Stock Split basis.

If the Reverse Stock Split is also approved, the number of shares reserved and available for future issuance under the 2022 ESPP (as increased by the ESPP Amendment) will be equitably adjusted. For purposes of illustration, if the Reverse Stock Split is effected at a ratio of 1-for-5 or 1-for-20, the number of shares reserved and available for future issuance under the 2022 ESPP (as increased by the ESPP Amendment) after the Reverse Stock Split would be approximately 974,689 shares and 243,672 shares, respectively.

Rationale for the Adoption of the ESPP Amendment

We believe that the adoption of the ESPP Amendment will benefit us by continuing to provide eligible service providers with an opportunity to acquire shares of Class A common stock, which gives such service providers a stake in our growth, and will enable us to attract, retain and motivate valued service providers. We expect the additional number of shares of Class A common stock under the ESPP Amendment to provide us with enough shares under the 2022 ESPP for at least the next two years, assuming participation in the 2022 ESPP is consistent with historical levels. We cannot predict the future level of 2022 ESPP participation, the future price of our shares of Class A common stock or future hiring activity with any degree of certainty at this time, and the share reserve under the 2022 ESPP could last for a shorter or longer period than we have anticipated. If the ESPP Amendment is not approved, we may not have enough shares of Class A common stock to fulfill outstanding purchase rights under the current offering period under the 2022 ESPP. If we determine that the number of available shares of Class A common stock is insufficient to fulfill all outstanding purchase rights for the current offering period, we expect to implement a pro-rata reduction of those outstanding purchase rights.

2023 – 2025 Burn Rate and Outstanding Purchased Shares Overhang

Eligible participants purchased an aggregate of 1,656,315 shares of Class A common stock for $2,339,416 in 2025 under the 2022 ESPP, compared to purchases of 1,071,206 shares of Class A common stock for $2,957,964 in 2024 and 413,333 shares of Class A common stock for $1,627,744 in 2023. Annual dilution attributable to shares of Class A common stock purchased under the 2022 ESPP was approximately 0.4% in 2025, 0.3% in 2024 and 0.1% in 2023. Annual dilution is calculated as shares of Class A common stock purchased divided by shares outstanding at year-end.

The share pool under the 2022 ESPP, as amended by the ESPP Amendment, represents approximately 1.2% of the 421,018,476 shares of Class A common stock outstanding as of August 17, 2026.

Summary of the Material Terms of the 2022 ESPP and the ESPP Amendment

General. The purpose of the 2022 ESPP is to provide eligible service providers of the Company or its affiliates with an opportunity to purchase shares of the Class A common stock. The 2022 ESPP includes two components: a Code Section 423 Component (the “423 Component”) and a non-Code Section 423 Component (the “Non-423 Component”). The Company intends for the 423 Component to qualify as an “employee stock purchase plan” under Section 423 of the

Internal Revenue Code of 1986, as amended (the “Code”). The provisions of the 423 Component, accordingly, will be construed so as to extend and limit participation in a uniform and nondiscriminatory basis consistent with the requirements of Section 423 of the Code. In addition, the 2022 ESPP authorizes the grant of purchase rights under the Non-423 Component that does not qualify as an “employee stock purchase plan” under Section 423 of the Code. Eligible employees will be able to participate in the 423 Component or Non-423 Component of the 2022 ESPP. Eligible service providers (who may or may not be eligible employees) will be able to participate only in the Non-423 Component of the 2022 ESPP.

Shares Subject to the Plan. Subject to adjustments as provided in the 2022 ESPP, an aggregate of 4,873,446 shares of Class A common stock (as increased by the ESPP Amendment) will be reserved for issuance under the 2022 ESPP. As of August 17, 2026, 663,261 shares of Class A common stock were available under the 2022 ESPP.

Plan Administration. The 2022 ESPP will be administered by the Board of Directors, unless and until the Board of Directors delegates administration of the 2022 ESPP to the Compensation Committee or any committee of the Board of Directors of no fewer than two members of the Board of Directors who are appointed by the Board of Directors to administer the 2022 ESPP (the Board of Directors or committee referred to above being sometimes referred to as the plan administrator).

Offerings. The 2022 ESPP is implemented by offerings of rights to all eligible employees and eligible service providers from time to time. Offerings may comprise one or more purchase periods. The maximum length for an offering under the 2022 ESPP is 27 months. The provisions of separate offerings need not be identical. When a participant elects to join an offering, he or she is granted a purchase right to acquire shares of Class A common stock on each purchase date within the offering, each corresponding to the end of a purchase period within such offering. On each purchase date, all payroll deductions collected from the participant during such purchase period are automatically applied to the purchase of Class A common stock, subject to certain limitations.

Eligibility. Purchase rights may be granted only to Company employees, employees of qualifying related corporations or, solely with respect to the Non-423 Component, employees of an affiliate (other than a qualifying related corporation) or eligible service providers. The plan administrator may provide that employees will not be eligible to be granted purchase rights under the 2022 ESPP if, on the offering date, the employee (i) has not completed at least two years of service since the employee’s last hire date (or such lesser period as the plan administrator may determine), (ii) customarily works not more than 20 hours per week (or such lesser period as the plan administrator may determine), (iii) customarily works not more than five months per calendar year (or such lesser period as the plan administrator may determine), (iv) is an officer within the meaning of Section 16 of the Exchange Act, or (v) is a highly compensated employee within the meaning of the Code. Unless otherwise determined by the plan administrator for any offering, an employee will not be eligible to be granted purchase rights unless, on the offering date, the employee customarily works more than 20 hours per week and more than five months per calendar year, and has been employed by the Company or a related corporation or affiliate, as applicable, for at least three continuous months preceding such offering date.

With respect to the 423 Component, no employee will be eligible for the grant of any purchase rights if, immediately thereafter, such employee owns stock possessing 5% or more of the total combined voting power or value of the Class A common stock or the stock of any related corporation. Moreover, with respect to the 423 Component, an eligible employee may be granted purchase rights only if such purchase rights, together with any other rights granted under all our and any related corporations’ employee stock purchase plan, do not permit such eligible employee’s rights to purchase stock in excess of $25,000 worth of stock in any calendar year.

As of August 17, 2026, there were approximately 1,515 employees eligible to participate in the 2022 ESPP.

Participation in the ESPP. On each offering date, each eligible employee or eligible service provider, pursuant to an offering made under the 2022 ESPP, will be granted a purchase right to purchase up to that number of shares of Class A common stock purchasable either with a percentage or with a maximum dollar amount, as designated by the plan administrator. However, with respect to the 423 Component, in the case of eligible employees, such percentage or maximum dollar amount will in either case not exceed 10% of such employee’s earnings during the period that begins on the offering date (or such later date as the plan administrator determines for a particular offering) and ends on the date stated in the offering, which date will be no later than the end of the offering, unless otherwise provided for in an offering.

Purchase Price. The purchase price of shares of Class A common stock acquired pursuant to purchase rights will be not less than the lesser of (but in no event lower than the par value per share of Class A common stock) an amount equal to (a) 85% of the fair market value of the shares of Class A common stock on the offering date; or (b) 85% of the fair market value of the shares of Class A common stock on the applicable purchase date (i.e., the last day of the applicable purchase period).

Payment of Purchase Price; Payroll Deductions. The purchase price of the shares of Class A common stock is accumulated by payroll deductions over the offering. To the extent permitted in the offering document, a participant may increase, reduce or terminate his or her payroll deductions. All payroll deductions made on behalf of a participant are credited to his or her account under the 2022 ESPP and deposited with the Company’s general funds. No interest will accrue on such payroll deductions. To the extent permitted in the offering document, a participant may make additional payments into such account. If required under applicable laws or regulations or if specifically provided in the offering, in addition to or instead of making contributions by payroll deductions, a participant may make contributions through a payment by cash, check, wire transfer or another approved manner with respect to the Non-423 Component prior to a purchase date, in a manner the Company directs.

Purchase of Stock. The plan administrator will establish one or more purchase dates during an offering on which purchase rights granted for that offering will be exercised and shares of Class A common stock will be purchased in accordance with such offering. In connection with each offering, the plan administrator may specify a maximum number of shares of Class A common stock that may be purchased by any participant or all participants. If the aggregate purchase of shares of Class A common stock issuable on exercise of purchase rights granted under the offering would exceed any such maximum aggregate number, then, in the absence of any plan administrator action otherwise, a pro rata (based on each participant’s accumulated contributions) allocation of the shares of Class A common stock available will be made in as nearly a uniform manner as will be practicable and equitable.

Withdrawal. During an offering, a participant may cease making contributions and withdraw from the offering by delivering a withdrawal form. The Company may impose a deadline before a purchase date for withdrawing. On such withdrawal, such participant’s purchase right in that offering will immediately terminate and the Company will distribute as soon as practicable to such participant all of his or her accumulated but unused contributions without interest and such participant’s purchase right in that offering will then terminate. A participant’s withdrawal from that offering will have no effect on his or her eligibility to participate in any other offerings under the 2022 ESPP, but such participant will be required to deliver a new enrollment form to participate in subsequent offerings.

Termination of Employment. Purchase rights granted pursuant to any offering under the 2022 ESPP will terminate immediately if the participant either is no longer an eligible employee or eligible service provider for any reason or for no reason, or is otherwise no longer eligible to participate. The Company shall have the exclusive discretion to determine when a participant is no longer actively providing services and the date of the termination of employment or service for purposes of the 2022 ESPP. As soon as practicable, the Company will distribute to such individual all of his or her accumulated but unused contributions without interest.

Restrictions on Transfer. During a participant’s lifetime, purchase rights will be exercisable only by such participant. Purchase rights are not transferable by a participant, except by will, by the laws of descent and distribution, or, if the Company so permits, by a beneficiary designation.

Exercise of Purchase Rights. On each purchase date, each participant’s accumulated contributions will be applied to the purchase of shares of Class A common stock, up to the maximum number of shares of Class A common stock permitted by the 2022 ESPP and the applicable offering, at the purchase price specified in the offering. Unless otherwise specified in the 2022 ESPP, no fractional shares of Class A common stock will be issued and, if any amount of accumulated contributions remains in a participant’s account after the purchase of shares of Class A common stock on the final purchase date in an offering, such remaining amount will roll over to the next offering. No purchase rights may be exercised to any extent unless and until the shares of Class A common stock to be issued on such exercise under the 2022 ESPP are covered by an effective registration statement pursuant to the Securities Act, and the 2022 ESPP is in material compliance with all applicable U.S. federal and state, foreign and other securities, exchange control, and other laws applicable to the 2022 ESPP. If, on the purchase date, as delayed to the maximum extent permissible, the shares of Class A common stock are not registered and the 2022 ESPP is not in compliance with all applicable laws or regulations, no purchase rights will be exercised and all accumulated but unused contributions will be distributed as soon as practicable to the participants without interest.

Capitalization Adjustments. In the event of a capitalization adjustment (as defined in the 2022 ESPP), the plan administrator will appropriately and proportionately adjust: (i) the classes and maximum number of securities subject to the 2022 ESPP, (ii) the classes and number of securities subject to, and the purchase price applicable to outstanding offerings and purchase rights, and (iii) the classes and number of securities that are the subject of the purchase limits under each ongoing offering.

Dissolution or Liquidation. In the event of the Company’s dissolution or liquidation, the plan administrator will shorten any offering then in progress by setting a new purchase date prior to the consummation of such proposed dissolution or liquidation. The plan administrator will notify each participant in writing prior to the new purchase date that the purchase date for the participant’s purchase rights has been changed to the new purchase date and that such purchase rights will be automatically exercised on the new purchase date, unless prior to such date the participant has withdrawn from the offering.

Effect of a Change in Control. Upon a change in control (as defined in the 2022 ESPP), any surviving corporation or acquiring corporation (or the surviving or acquiring corporation’s parent company) may assume or continue outstanding purchase rights or may substitute similar rights for outstanding purchase rights, or, if any surviving or acquiring corporation (or its parent company) does not assume or continue such purchase rights or does not substitute similar rights for such purchase rights, then the participants’ accumulated contributions will be used to purchase shares of Class A common stock prior to the change in control under the outstanding purchase rights, and the purchase rights will terminate immediately after such purchase. The plan administrator will notify each participant in writing, at least ten business days prior to the new purchase date that the purchase date for the participant’s purchase rights has been changed to the new purchase date and that such purchase rights will be automatically exercised on the new purchase date, unless prior to such date the participant has withdrawn from the offering.

Amendment, Termination or Suspension of the ESPP. The plan administrator may amend the 2022 ESPP at any time in any respect the plan administrator deems necessary or advisable. However, except with respect to capitalization adjustments described above, stockholder approval will be required for any amendment of the 2022 ESPP for which stockholder approval is required by applicable laws, regulations or listing requirements, including any amendment that either (i) increases the number of shares of Class A common stock available for issuance under the 2022 ESPP, (ii) expands the class of individuals eligible to become participants and receive purchase rights, (iii) materially increases the benefits accruing to participants under the 2022 ESPP or reduces the price at which shares of Class A common stock may be purchased under the 2022 ESPP, (iv) extends the term of the 2022 ESPP, or (v) expands the types of awards available for issuance under the 2022 ESPP, but in each case only to the extent stockholder approval is required by applicable laws, regulations, or listing requirements.

The Company intends to file with the SEC a registration statement on Form S-8 covering all of the shares of Class A common stock issuable pursuant to the ESPP Amendment.

Summary of U.S. Federal Income Tax Consequences

The following is a summary of certain United States federal income tax consequences of awards granted to individual service providers under the 2022 ESPP. It does not purport to be a complete description of all applicable rules, and those rules (including those summarized here) are subject to change. This summary also assumes that the Section 423 Component complies with Section 423 of the Code and is based on the tax laws in effect as of the date of this proxy statement.

As described above, the 2022 ESPP has a Section 423 Component and a Non-Section 423 Component. The tax consequences for a U.S. taxpayer will depend on whether he or she participates in the Section 423 Component or the Non-Section 423 Component.

Tax consequences to U.S. participants in the Section 423 Component

The right of participants to make purchases under the Section 423 Component are intended to qualify under the provisions of Section 423 of the Code. Under the applicable Code provisions, no income will be taxable to a participant until the sale or other disposition of the shares of Class A common stock purchased under the 2022 ESPP. Upon such sale or disposition, the participant will generally be subject to tax in an amount that depends upon the length of time such shares of Class A common stock are held by the participant prior to disposing of them. If the shares of Class A common stock are sold or disposed of more than two years from the first day of the offering period in which the shares of Class A common stock were purchased and one year from the date of purchase, or if the participant dies while holding the shares of Class A common stock, the participant (or his or her estate) will recognize ordinary income measured as the lesser of the excess of the fair market value of the shares at the time of such sale or disposition over the purchase price and the excess of the fair market value of the shares at the beginning of the offering period over the purchase price. Any additional gain will be treated as long-term capital gain. If the shares of Class A common stock are held for the holding periods described above but are sold for a price that is less than the purchase price, there is no ordinary income and the participating employee has a long-term capital loss for the difference between the sale price and the purchase price.

If the shares of Class A common stock are sold or otherwise disposed of before the expiration of the holding periods described above, the participant will recognize ordinary income generally measured as the excess of the fair market value of the shares on the date the shares are purchased over the purchase price. Any additional gain or loss on such sale or disposition will be long-term or short-term capital gain or loss, depending on how long the shares were held by the participant.

We are not entitled to a deduction for amounts taxed as ordinary income or capital gain to a participant except to the extent of ordinary income recognized upon a sale or disposition of shares of Class A common stock prior to the expiration of the holding periods described above.

Tax consequences to U.S. participants in the Non-Section 423 Component

A U.S. participant in the Non-Section 423 Component will have compensation income equal to the value of the shares of Class A common stock on the day he or she purchased the Class A common stock less the purchase price. When a participant sells the shares of Class A common stock he or she purchased under the Non-Section 423 Component of the 2022 ESPP, he or she also will have a capital gain or loss equal to the difference between the sales proceeds and the value of the Class A common stock on the day he or she purchased it. This capital gain or loss will be long-term if the participant held the Class A common stock for more than one year and otherwise will be short-term.

Any compensation income that a participant receives upon the purchase of shares of Class A common stock under the Non-Section 423 Component of the 2022 ESPP is subject to withholding for income, Medicare and social security taxes, as applicable. We are entitled to a deduction for amounts taxed as ordinary income to a participant to the extent of ordinary income recognized upon a purchase made under the Non-Section 423 Component.

New Plan Benefits

Because participation in the 2022 ESPP is voluntary, the benefits or amounts that will be received by or allocated to any individual or group of individuals under the 2022 ESPP in the future are not determinable.

Mr. Cho has served as Co-Founder and Chief Executive Officer for Unsplash, a subsidiary of the Company, since 2013 and is responsible for leading and operating Unsplash’s overall strategy and vision. In 2013, Mr. Cho founded Unsplash as a blog with ten photos and the mission to make world-class images accessible to enable everyone to create. Prior to founding Unsplash, Mr. Cho held co-founder and leadership roles at companies in the digital and creative sectors, including Crew, a marketplace for creative talent, Uber Foundry, a digital design studio, and WHYNOTBLUE Digital Agency.

Grant Farhall

Mr. Farhall has served as our Senior Vice President, Chief Product Officer since 2020, where he is responsible for our overall product strategy and vision. In his role, Mr. Farhall oversees our websites, user experiences, customer research and Generative AI strategy, with the aim of making it easier for our customers to discover, license and share content to connect with their audiences, and drive impact for the business. His career at Getty Images spans more than a decade, including his prior role as Vice President of Ecommerce from 2019 until 2020 and his role as General Manager of iStock from 2017 until 2019. Prior to joining Getty Images, Mr. Farhall worked in broadcast journalism and managed several design and web development agencies.

Gene Foca

Mr. Foca has served as our Senior Vice President, Chief Marketing Officer since 2017 and effective May 1, 2023, as Senior Vice President, Chief Marketing and Revenue Officer. As Chief Marketing and Revenue Officer, Mr. Foca is responsible for leading global marketing, sales, ecommerce and communications for Getty Images, overseeing our brand portfolio, strategy and execution for all marketing channels from digital to communications, marketing data science and operations and global sales, including outbound sales, customer success and customer service. He has a wealth of experience across ecommerce, product and digital marketing, bringing over 20 years’ experience as a strategic and data driven leader, launching and growing some of the world’s biggest content and ecommerce businesses. Mr. Foca joined Getty Images after nearly five years at Amazon in Seattle and New York from 2012 through 2016, working with Kindle and retail ecommerce, as well as a brief stint at Fresh Direct overseeing customer marketing. Prior to that, he served as SVP of Marketing for News Digital/News Corporation, where he focused on content app launches and subscription marketing from 2010 until 2011. He previously spent nearly 19 years at Time Warner in senior ecommerce and consumer marketing leadership roles, primarily with the Time Incorporated division from 1991 until 2010.
