RMG Acquisition Corporation II (“RMG II”) is filing this Amendment No. 1 on Form 8-K/A (the “Amended Filing”) to its Form 8-K filed on February 24, 2021 (the “Original Report”) solely to amend the incorrect information furnished in Exhibit 99.3 to the Original Report. This Amended Filing only includes a corrected version of Exhibit 99.3 of the Original Report, which is Exhibit 99.1 to this Amended Report, and does not reflect the full text of the Original Report. This Amended Report does not otherwise change or update the disclosures or exhibits set forth in the Original Report.
