Other Events.

On June 19, 2024, Vanda Pharmaceuticals Inc., a Delaware corporation, issued a press release announcing that its Board of Directors, in consultation with its independent financial and legal advisors, and consistent with its fiduciary duties, rejected unsolicited acquisition proposals from Future Pak, LLC and Cycle Group Holdings Ltd. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
