Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 26, 2024 Pascal Levensohn informed SoundThinking, Inc. (the “Company”) of his intention not to stand for re-election as a member of the Company’s Board of Directors (the “Board”) at the Company’s 2025 Annual Meeting of Stockholders. Mr. Levensohn is a Class II director and has served as a member of the Board since 2007. Mr. Levensohn serves as the Chair of the Board and a member of the Audit Committee of the Board and will continue to serve in such roles until he leaves the Board effective immediately following the election of directors at the Company’s 2025 Annual Meeting of Stockholders. Mr. Levensohn’s decision not to stand for re-election is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices. The Nominating and Corporate Governance Committee of the Board has an ongoing retainer with a search firm to identify potential new director candidates.
