Section 1—Registrant’s Business and Operations

Item 1.01

Entry into a Material Definitive Agreement.

On September 3, 2025, Silgan Holdings Inc. (the “Company”) and certain of its U.S. subsidiaries entered into a purchase agreement (the “Purchase Agreement”) with Merrill Lynch International, on behalf of itself and as representative of the other Initial Purchasers named therein (collectively, the “Initial Purchasers”). Pursuant to the Purchase Agreement, the Company agreed to sell to the Initial Purchasers in a private placement in reliance on Rule 144A and Regulation S under the Securities Act of 1933, as amended, €600 million aggregate principal amount of its 4¹⁄₄% Senior Notes due 2031 (the “Notes”) at 100 percent of their principal amount. The Notes will be guaranteed on a senior unsecured basis by the U.S. subsidiaries of the Company (the “Guarantors”) that guarantee obligations under the Company’s senior secured credit facility (the “Credit Agreement”) and existing senior secured and unsecured notes. The closing for the sale of the Notes is subject to customary conditions and is expected to occur on or about September 12, 2025. The Purchase Agreement contains customary representations and warranties of the parties and indemnification and contribution provisions whereby the Company and the Guarantors, on the one hand, and the Initial Purchasers, on the other hand, have agreed to indemnify each other against certain liabilities and will contribute to payments the other party may be required to make in respect thereof.

The net proceeds from the offering of the Notes will be approximately €592.8 million after deducting the Initial Purchasers’ discount and estimated offering expenses. The Company intends to use the net proceeds from the sale of the Notes to repay outstanding revolving loan borrowings under the Credit Agreement and for other general corporate purposes.
