Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 1, 2026, each of Cole Oliver and Dana Kilborne resigned from the Board of Directors (the “Board”) of Sidus Space, Inc. (the “Company”) for personal reasons.

On January 1, 2026, the Board appointed Kelle Wendling as a director, effective immediately, for a term continuing to the Company’s next annual meeting of shareholders, when all directors will be subject to election by shareholders.

There are no arrangements or understandings between Ms. Wendling and any other person pursuant to which he was elected as a director. There are no transactions in which Ms. Wendling has an interest requiring disclosure under Item 404(a) of Regulation S-K.
