Future Departure of Director

On January 21, 2026, Gregory Serio, a member of the Company’s Board of Directors (the “Board”) since 2012, provided the Company with notice of his intention not to stand for reelection to the Board at the Company’s 2026 annual meeting of stockholders (the “2026 Annual Meeting”) and to retire from the Board at the end of his current term, which will occur at the 2026 Annual Meeting. Mr. Serio’s decision did not involve a disagreement on any matter relating to the Company’s operations, policies or practices.
