Other Events.

Overseas Shipholding Group, Inc. (the “Company”) previously disclosed that it intended to hold its 2024 Annual Meeting of Stockholders (the “2024 Annual Meeting”) on June 6, 2024. On May 29, 2024, the Company issued a press release, a copy of which is attached hereto as Exhibit 99.1, announcing that, in consideration of the Company’s contemplated merger transaction with Saltchuk Resources, Inc. previously disclosed by the Company on its Current Report on Form 8-K filed with the Securities and Exchange Commission on May 20, 2024, the Company has determined to cancel the 2024 Annual Meeting.
