ITEM 1.01 – Entry into a Material Definitive Agreement.

On March 18, 2021, MediaAlpha, Inc., a Delaware corporation (the “Company”), together with its subsidiaries Guilford Holdings, Inc. and QL Holdings LLC, entered into an underwriting agreement (the “Underwriting Agreement”) with J.P. Morgan Securities LLC and Citigroup Global Markets Inc., as representatives of the several underwriters listed in Schedule 1 thereto (the “Underwriters”), White Mountains Investments (Luxembourg) S.à r.l., Insignia QL Holdings, LLC, Insignia A QL Holdings, LLC and certain management selling stockholders (collectively, the “Selling Stockholders”) relating to an underwritten secondary public offering of an aggregate of 8,050,000 shares of Class A common stock of the Company being sold by the Selling Stockholders, including 1,050,000 shares of Class A common stock sold pursuant to the over-allotment option granted by certain Selling Stockholders to the Underwriters (the “Offering”). The Offering closed on March 23, 2021.

The Underwriting Agreement contains customary representations, warranties, and covenants of the Company and the Selling Stockholders and also provides for customary indemnification by each of the Company, the Selling Stockholders and the Underwriters against certain liabilities.

The Offering is made pursuant to a registration statement on Form S-1 (File No. 333-254338) filed with the Securities and Exchange Commission (the “SEC”), which was declared effective by the SEC on March 18, 2021.
