Completion of Acquisition or Disposition of Assets.

On March 31, 2025, LegalZoom.com, Inc. (“LegalZoom”), through its wholly owned subsidiary, 9900 Spectrum LLC, a Texas limited liability company (“Seller”), closed on the sale of its real property located at 9900 Spectrum Drive, Austin, Texas 78717 (the “Property”) to Round Rock Independent School District (“Buyer”), pursuant to that Property Purchase Agreement and Escrow Instructions, dated as of September 23, 2024, by and among the Seller and Buyer. The Property was sold for an aggregate purchase price of $37,750,000 in cash. There were no material relationships, other than in respect of the sale of the Property, among the Seller and LegalZoom, and their respective affiliates, directors, officers and associates of such directors or officers, on the one hand, and the Buyer and its affiliates on the other hand.
