Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 1, 2025, Kohl’s Corporation (the “Company”) announced that Siobhán Mc Feeney, the Company’s Chief Technology and Digital Officer, will be departing the Company effective April 2, 2025. In connection with her departure, Ms. Mc Feeney is entitled to receive separation benefits in accordance with the terms of the Amended and Restated Executive Compensation Agreement dated July 16, 2022, between Ms. Mc Feeney and Kohl’s, Inc.
