Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2024, Catherine Sohn, Pharm.D. notified the board of directors (the “Board”) of Jazz Pharmaceuticals plc (the “Company”), that she is retiring and will not stand for re-election to the Board, when her term expires, at the Company’s 2024 annual general meeting of shareholders. Dr. Sohn’s decision was not the result of any dispute or disagreement with the Company or the Company’s Board on any matter relating to the operations, policies or practices of the Company.
