Item 5.07.

Submission of Matters to a Vote of Security Holders.

At a special meeting of stockholders of iRobot Corporation (the “Company” or “iRobot”) held on October 12, 2023 (the “Special Meeting”), the Company’s stockholders voted to approve and adopt the amended merger agreement (as defined below). As of the date of this Current Report on Form 8-K, the transactions contemplated by the amended merger agreement are expected to close promptly after all required regulatory clearances have been received, and subject to the satisfaction of other customary closing conditions.

As of August 22, 2023, the record date for the Special Meeting, there were 27,696,213 shares of iRobot common stock, par value $0.01 per share (“Common Stock”), outstanding, each of which was entitled to one (1) vote for each proposal at the Special Meeting. At the Special Meeting, a total of 19,866,851 shares of Common Stock, representing approximately 71.73% of the shares of Common Stock issued and outstanding and entitled to vote, were present virtually or by proxy, constituting a quorum to conduct business.

At the Special Meeting, the Company’s stockholders voted on the proposals listed below. The proposals are described in detail in the Company’s definitive proxy statement for the Special Meeting filed with the Securities and Exchange Commission (the “SEC”) on August 24, 2023 (the “Proxy Statement”). The final results for the votes regarding each proposal are set forth below. There were no recorded broker non-votes.

Proposal 1: The Merger Proposal

To approve and adopt the Agreement and Plan of Merger, dated as of August 4, 2022 (the “original merger agreement”), as amended by the Amendment to Agreement and Plan of Merger, dated as of July 24, 2023 (the “merger agreement amendment”), by and among Amazon.com, Inc. (“Amazon.com”), Martin Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Amazon.com (“Merger Sub”), and iRobot (the original merger agreement, as amended by the merger agreement amendment and as it may be further amended from time to time, the “amended merger agreement”), pursuant to which Merger Sub will be merged with and into iRobot (the “merger”), with iRobot surviving the merger.

The following votes were cast at the Special Meeting (in person or by proxy) and the proposal was approved:

To approve, on an advisory (non-binding) basis, certain compensation that may be paid or become payable to the Company’s named executive officers in connection with the merger.

Proposal 3: The Adjournment Proposal

The proposal to approve the adjournment of the Special Meeting to a later date or dates, if necessary or appropriate, to solicit additional proxies if there were insufficient votes to adopt the amended merger agreement, was not voted upon at the Special Meeting since there were sufficient votes to approve Proposal 1.
