Results of Operations and Financial Condition.

On March 17, 2025, Inspired Entertainment, Inc. (the “Company”) issued a press release announcing results for the fiscal year ended December 31, 2024. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The Company has determined that it is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 (the “Form 10-K”) by March 17, 2025, the original due date for such filing, without unreasonable effort or expense. The Company anticipates filing the Form 10-K on or prior to March 21, 2025.
