Departure of Directors or Certain Officers: Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 25, 2025, John Brancaccio, the CFO and a director of Hepion Pharmaceuticals, Inc., a Delaware corporation (the “Company”), resigned as CFO and a director, effective June 30, 2025 for personal reasons.
