Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 15, 2026, Susan B. McGee notified the board of directors (the “Board”) of Goldman Sachs BDC, Inc. (the “Company”) that she intends to resign from the Board and all committees thereof, effective as of March 31, 2026. The Company and the Board are grateful to Ms. McGee for her service and look forward to her continued contributions through the remainder of her tenure on the Board.
