Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 15, 2026, Anna Sedgley, a member of the Board of Directors (the “Board”) of FiscalNote Holdings, Inc. (the “Company”), notified the Company of her decision to resign as a director effective on March 19, 2026. She has decided to resign in order to focus on other professional commitments, and not due to any disagreement with the Company on any matter relating to its operations, policies or practices. Ms. Sedgley joined the Board in February 2021 and currently serves as Chair of the Audit Committee. The Company is grateful to Ms. Sedgley for the critical guidance she has provided throughout her service as a director.
