Item 2.02 Results of Operations and Financial Condition.

On March 16, 2021, Designer Brands Inc. (the “Company”) issued a press release announcing its consolidated financial results for the fourth quarter ended January 30, 2021. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated by reference herein. The Company also posted an infographic dated March 16, 2021 on the “Investors” section of its investor relations website (investors.designerbrands.com/investor-relations). Copies of the press release and infographic are furnished herewith as Exhibit 99.1 and Exhibit 99.2, respectively.
