Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 24, 2024, Adrian Kilcoyne, M.D., M.P.H., M.B.A. of Celularity Inc., or Celularity, provided notice of resignation from his role as Executive Vice President and Chief Medical Officer, effective as of August 6, 2024, to pursue other opportunities. Dr. Kilcoyne’s decision to resign was not due to any disagreement with Celularity on any matter, or relating to its operations, policies, or practices.
