5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 14, 2023, Business First Bancshares, Inc. (“Business First") and its wholly-owned subsidiary, b1BANK (the “Bank”) were notified of the resignation of Drew C. Brees from the Board of Directors of each of Business First and the Bank, effective on that same date. Mr. Brees’ resignation did not result from any disagreement with Business First on any matter relating to Business First’s operations, policies or practices. Rather, Mr. Brees’ resignation is a result of his decision to devote his time to various business ventures. Mr. Brees will continue to partner with the Bank pursuant to the March 15, 2021 Ambassador Agreement between Mr. Brees and the Bank.
