Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 19, 2026, Stephen Thompson, Chief Administrative Officer of Boyd Gaming Corporation (the “Company”), announced his intent to retire from the Company, effective March 31, 2026. Mr. Thompson has served in this role since December 2023. Mr. Thompson is retiring for personal reasons and not because of any disagreement with the Company.
