Item 3.01.

Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 10, 2025, Bowen Acquisition Corp (the “Company”) received a notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) stating that the Company failed to maintain a minimum of 1,100,000 publicly held shares as required for continued listing on the Nasdaq Global Market under Nasdaq Listing Rule 5450(b)(2)(B).

The Notice stated that no later than August 25, 2025, the Company is required to submit a plan to regain compliance with the above referenced rule. If NASDAQ accepts the Company’s plan, it has the discretion to grant the Company an extension of up to 180 calendar days from the date of the notice to regain compliance. There can be no assurance, however, that the Company will be able to regain compliance with the listing requirements discussed above or otherwise satisfy the other NASDAQ listing criteria.

The notice has no effect at this time on the listing of the Company’s Ordinary Shares, which will continue to trade uninterrupted under the symbol “BOWN”.
