Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 8, 2024, following her election as governor of New Hampshire, Kelly A. Ayotte, a member of the board of directors (the “Board”) of Blackstone Inc. (“Blackstone”), notified Blackstone of her intention to resign from the Board. Ms. Ayotte’s resignation will be effective November 14, 2024 (the “Resignation Date”). Blackstone and the Board thank Ms. Ayotte for her valuable contributions.

Effective the Resignation Date, the size of the Board will be reduced from nine members to eight members.
