Item 3.02.

Unregistered Sales of Equity Securities

On March 29, 2024, BCB Bancorp, Inc. (the “Company”) issued 269 shares of its Series J Noncumulative Perpetual Preferred Stock, par value $0.01 per share (the “Series J Preferred Stock”), in a private placement, resulting in gross proceeds to the Company of $2,690,000. The sale represents 9.7% of the gross proceeds of the Company’s total issued and outstanding Noncumulative Perpetual Preferred Stock. The purchase price was $10,000.00 per share.

This is the second round of shares issued in the Company’s private placement of Series J Preferred Stock. As previously disclosed, the Company issued 1,527 shares of Series J Preferred Stock on December 14, 2023. The Company relied on the exemption from registration with the Securities and Exchange Commission (“SEC”) provided under SEC Rule 506 of Regulation D for its private placement of Series J Preferred Stock.
