Item 1.03

Bankruptcy or Receivership

On February 22, 2024, Baudax Bio, Inc. (the “Company”) filed a voluntary petition under Chapter 11 of the U.S. Bankruptcy code (the “Bankruptcy Code”) in the U.S. Bankruptcy Court for the Eastern District of Pennsylvania (the “Bankruptcy Court”) (the “Chapter 11 Case”). The Chapter 11 Case was assigned case number 2:24-bk-10583. The Company intends to continue operating its business during the Chapter 11 Case as a debtor-in-possession in accordance with the Bankruptcy Code and orders of the Bankruptcy Court.
