Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2025, Marjorie Magner notified the Board of Directors of her intention to retire as a director of Ally Financial Inc. (Ally), effective on December 9, 2025. Ms. Magner’s decision was not due to any disagreement with Ally on any matter relating to Ally’s operations, policies, or practices.
