Other Events.

Exhibits are filed herewith in connection with the issuance on February 28, 2024 by Air Lease Corporation (the “Company”) of an additional C$400,000,000 aggregate principal amount of the Company’s 5.400% Medium-Term Notes, Series A, due June 1, 2028 (the “Notes”). The Notes were offered pursuant to the Company’s Registration Statement on Form S-3 (File No. 333-255862), filed with the Securities and Exchange Commission on May 7, 2021, and as supplemented by the Prospectus Supplement, dated May 7, 2021, and the Pricing Supplement, dated February 20, 2024.
