Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 12, 2021, J. Michael Dodson notified the Board of Directors (the “Board”) of A10 Networks, Inc., a Delaware corporation (the “Company”), of his decision to decline to stand for re-election to the Board and all committees thereof at the 2021 annual meeting of the stockholders (the “Annual Meeting”). Mr. Dodson intends to serve out his remaining term, which will end immediately prior to the start of the Annual Meeting. Mr. Dodson’s decision to decline to stand for re-election is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
