EXPLANATORY NOTE

Fifth Third Bancorp (the “Registrant”) is filing this Registration Statement on Form 8-A in connection with the dual listing of its Common Stock, no par value (the “Common Stock”) with the NYSE Texas, Inc. (the “NYSE Texas”). The Common Stock is currently listed on the New York Stock Exchange under the symbol “FITB”.

The description of the general terms and provisions of Common Stock, no par value is incorporated herein by reference to the descriptions included under the caption “Description of Registrant’s Securities” in the Registrant’s Annual Report on Form 10-K, filed on February 24, 2026, except that any reference to Nasdaq is hereby amended to refer to the NYSE Texas.
