Explanation of Responses:

1. Each deferred stock unit represents the right to receive one share of common stock of the Issuer.

2. Since the date of the reporting person's last ownership report, he transferred 70,166 deferred Restricted Stock Units to his ex-wife pursuant to a domestic relations order. The reporting person no longer reports as beneficially owned any securities owned by his ex-wife.

3. The deferred stock units will fully vest on the earlier of (i) the first anniversary of the grant date, (ii) the next annual meeting of stockholders following the grant date, or (iii) immediately upon death, disability or change in control. The deferred stock units will be settled in shares of the Issuer's common stock either (i) on a date selected by the reporting person pursuant to the Issuer's Nonemployee Director Deferred Compensation Plan (the "Plan"), or (ii) as otherwise provided by the Plan.
