Explanation of Responses:

1. The number of common shares reported as beneficially owned differs due to shares acquired under Park National Corporation's ("Park") employee stock ownership plan (the "KSOP").

2. Includes an addition of 0.045 common share of Park to reflect the correct total of common shares beneficially owned indirectly in the David L. Trautman Managing Agency Account. The information in this report is based on a plan statement dated as of December 31, 2023.

3. These performance-based restricted stock units ("PBRSUs") convert into Park common shares on a one-for-one basis upon satisfaction of a service-based vesting requirement pursuant to which they are to vest on March 31, 2024.
