Explanation of Responses:

1. Represents 7,500 shares sold by the Reporting Person to Wolfgang Deml, a member of Pontem Corporation's advisory board. This disposition was not previously reported on a Form 4.

2. This Form 5 is being filed by Pontem LLC, sponsor of the Issuer (the "Sponsor"). The Sponsor is managed by a board of managers comprised of Burak Alici, Nina Murphy and Hubertus Muehlhaeuser. Each manager has one vote, and the approval of a majority is required to approve an action of the Reporting Person. Accordingly, each manager disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
