1. Includes shares acquired since the last report pursuant to the Company's Profit Sharing Trust.

2. Consists of (a) 1,333 shares of Common Stock, and (b) unvested restricted stock units ("RSUs") awarded to the reporting person under the Hawthorn Bancshares, Inc. Equity Incentive Plan that can be settled only in shares of Common Stock. The RSUs vest as follows: 333 units on February 20, 2026; 1,000 units on December 8, 2026; 333 units on February 20, 2027; 333 units on December 8, 2027; 334 units on February 20, 2028; and 334 units on December 8, 2028.
