Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Class A Common Stock.

2. The RSUs were granted on November 23, 2021 and will vest and become exercisable in equal installments one each of November 11, 2022, 2023, 2024 and 2025, subject to the Mr. Griffin's continued service with the Issuer.
