Item 8.01. Other Events.

On March 17, 2026, Victory Capital Holdings, Inc. (the “Company”) issued a press release (the “Press Release”) announcing that it had submitted an improved proposal to the Special Committee of the Board of Directors of Janus Henderson Group plc (“Janus Henderson”), to acquire Janus Henderson (the “Updated Proposal”).

The foregoing description of the Updated Proposal is qualified in its entirety by reference to the Press Release, a copy of which is attached hereto as Exhibit 99.1. The full text of the Updated Proposal is included in the Press Release.
