Item 8.01. Other Events.

On December 18, 2023, Prospector Capital Corp., a Cayman Islands exempted company (“Prospector”), issued a press release (the “Press Release”) announcing an update on the status of its previously announced business combination with LeddarTech Inc., a corporation existing under the laws of Canada (“LeddarTech”), and LeddarTech Holdings Inc., a company incorporated under the laws of Canada and a wholly owned subsidiary of LeddarTech (“Newco”). Prospector announced that the parties are working together to expeditiously satisfy closing conditions, including obtaining the approval of Nasdaq to list Newco’s common shares and warrants following the closing of the business combination.
