Item 8.01 Other Events

As previously disclosed on a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (“SEC”) on December 20, 2022, the stockholders of Parabellum Acquisition Corp. (the “Company”) approved an amendment to the Company’s Amended and Restated Certificate of Incorporation that extends the date by which the Company must consummate a business combination transaction from March 30, 2023 on a monthly basis up to September 30, 2023 (the date which is 24 months from the closing date of the Company’s initial public offering of units) by depositing $185,000 into the Company’s trust account (the “Trust Account”) for each one month extension. The certificate of amendment was filed with the Delaware Secretary of State and has an effective date of December 20, 2022.

Accordingly, on March 30, 2023, the Company deposited the first monthly payment of $185,000 into the Trust Account, thereby extending the business combination period until April 30, 2023, and issued a press release announcing the same.

In connection with the proposed Business Combination, Holdco intends to file with the SEC a registration statement on Form F-4 (“F-4 Registration Statement”), which will include a preliminary proxy statement to be distributed to holders of Parabellum’s common stock in connection with Parabellum’s solicitation of proxies for the vote by Parabellum’s stockholders with respect to the Business Combination and other matters as described in the F-4 Registration Statement and a prospectus relating to the offer of the securities to be issued to Parabellum’s stockholders in connection with the Business Combination. After the F-4 Registration Statement has been filed and declared effective, Parabellum will mail a definitive proxy statement/prospectus, when available, to its stockholders.
