Item 8.01.

Other Events.

On December 27, 2023, OceanTech Acquisitions I Corp., a Delaware corporation (the “Company”), issued a press release announcing that it caused to be deposited $30,000 into the Company’s trust account on December 27, 2023, for its public stockholders, allowing the Company to extend the period of time it has to consummate its initial business combination by one month from January 2, 2024 to February 2, 2024 (the “Extension”). The Extension is the eighth of twelve, 1-month extensions permitted under the Company’s governing documents.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
