Item 8.01.

Other Events.

On November 27, 2023, OceanTech Acquisitions I Corp., a Delaware corporation (the “Company”), issued a press release announcing that it caused to be deposited $30,000 into the Company’s trust account on November 27, 2023, for its public stockholders, allowing the Company to extend the period of time it has to consummate its initial business combination by one month from December 2, 2023 to January 2, 2024 (the “Extension”). The Extension is the seventh of twelve, 1-month extensions permitted under the Company’s governing documents.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
