Regulation FD Disclosure.

On November 10, 2021, ION Acquisition Corp 2 Ltd. (“ION”) issued a press release announcing that the U.S. Securities and Exchange Commission (“SEC”) has declared effective ION’s Registration Statement on Form S-4 (the “Registration Statement”), as amended, which was filed in connection with ION’s previously announced business combination (the “Proposed Transaction”) with Innovid, Inc. (“Innovid”). A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated by reference hereby.

The information in this Item 7.01, including Exhibit 99.1, is furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to liabilities under that section, and shall not be deemed to be incorporated by reference into the filings of ION under the Securities Act or the Exchange Act, regardless of any general incorporation language in such filings.
