Huntsman and Olin announced (https://www.huntsman.com/news/media-releases/detail/628/olin-and-huntsman-announce-s-4-registration-statement-in) that the S-4 Registration Statement related to the proposed merger of equals has been declared effective by the U.S. Securities and Exchange Commission (SEC). This means Huntsman and Olin can move to the special stockholder meetings to vote on the transaction.

This is an important milestone because it reflects continued progress toward completing the proposed combination of Huntsman and Olin. It does not mean the transaction has closed. Rather, it means the process is advancing to the stockholder vote stage.

The special meetings are scheduled for August 25, 2026.
