Item 8.01 Other Events.

On October 23, 2023, Healthwell Acquisition Corp. I (the “Company” or “Healthwell”) issued a press release (the “Press Release”) announcing that it has postponed until further announcement the special meeting of its stockholders that had been scheduled at 10:00 a.m. ET on October 25, 2023, for the consideration of all proposals included in its definitive proxy statement/prospectus filed with the Securities Exchange Commission on October 2, 2023.

A copy of the Press Release issued by the Company is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01.

Additional Information and Where to Find It

In connection with the transactions contemplated by the business combination agreement, dated April 27, 2023 (as amended on May 15, 2023, August 10, 2023 and September 17, 2023, and as may be further amended or supplemented from time to time, the “Business Combination Agreement,” and all of the transactions contemplated thereunder, the “Transaction”), by and among Starton Therapeutics, Inc. (“Starton”), Healthwell, HWEL Holdings Corp., a Delaware corporation and wholly-owned subsidiary of Healthwell (“Pubco”), and other parties thereto, Pubco filed a registration statement on Form S-4 with the U.S. Securities and Exchange Commission (the “SEC”) on May 15, 2023 (as may be amended or supplemented from time to time, the “Registration Statement”), which includes a proxy statement and a prospectus in connection with the Transaction.
