Item 8.01 Other Events.

On August 1, 2022, Energem Corp., a Cayman Islands exempted company (the “Company”) and Graphjet Technology Sdn. Bhd., a Malaysian private limited company (“Graphjet”) entered into a Share Purchase Agreement (as amended on September 4, 2023, the “Share Purchase Agreement” or “SPA”). On February 28, 2024, the Company held an extraordinary general meeting of shareholders in which the SPA and the transactions contemplated by the SPA (the “Business Combination” and together with the other transactions contemplated by the Share Purchase Agreement, the “Transactions”) were approved by the Company shareholders.

Lim Hooi Beng was listed in the Company’s Form S-4 (filed with the SEC on January 3, 2023, under Registration No. 333-268716 and declared effective by the SEC on February 2, 2024) as a Nonexecutive Chairman and Director of the Company after giving effect to the Business Combination. Mr. Lim will not serve as a director of the Company going forward. Mr. Lim will serve in an informal advisory capacity, similar to the role he currently serves at Graphjet. There was a miscommunication between the parties that led to his being listed as a director and there are no disagreements between Mr. Lim and the Company on any matter relating to its operations, policies, or practices.
