A copy of an investor presentation issued by EGH Acquisition Corp. (“EGH”) and Hecate Energy Group LLC (“Hecate”) on February 5, 2026 is furnished as Exhibit 99.1 to this Current Report.

Additional Information about the Business Combination and Where to Find It

In connection with the proposed business combination between EGH and Hecate (“Business Combination”), EGH intends to file a registration statement (the “Registration Statement”) with the Securities and Exchange Commission (“SEC”) that includes a preliminary proxy statement/prospectus of EGH, and after the Registration Statement is declared effective, EGH will mail a definitive proxy statement/prospectus relating to the Business Combination to EGH’s shareholders.
