ITEM 7.01. REGULATION FD DISCLOSURE.

On April 14, 2026, Amazon.com, Inc. (the “Company”) and Globalstar, Inc., a Delaware corporation (“Globalstar”), issued a joint press release announcing they have entered into a definitive merger agreement for the Company to acquire Globalstar on the terms and subject to the conditions set forth in the merger agreement. The transaction is subject to the satisfaction of certain closing conditions, including receipt of required regulatory approvals. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
